Common use of Decisions Binding Clause in Contracts

Decisions Binding. All determinations and decisions made by the Committee pursuant to the provision of the Plan and all related orders and resolutions of the Committee shall be final, conclusive, and binding on all people, including the Company, its stockholders, Directors, Employees, Participants, and their estates and beneficiaries.

Decisions Binding. All determinations and decisions made by the Committee or the Corporate Governance Committee of the Board pursuant to the provision provisions of the Plan and all related orders and resolutions of the Committee such committee shall be final, conclusive, and binding on all peoplepersons, including the Company, its stockholdersshareholders, Directors, Non-Employee Directors, Employees, Participants, and their estates and beneficiaries.

In all cases, Awards to Directors shall be subject to the same terms, conditions and beneficiariesinterpretations applicable generally to Awards to non-Director Participants.
