Common use of Declarations and Warranties Clause in Contracts

Declarations and Warranties of the Seller contained in this Agreement shall be true and correct as of the date of signing of this Agreement and (except in cases that such warranties bear the earlier date) shall be true and correct on the Closing Date with the same force and effect.
