Decline to Assume the Defense Sample Clauses

The "Decline to Assume the Defense" clause allows a party, typically an indemnitor, to refuse to take over the legal defense of another party in the event of a claim or lawsuit. In practice, this means that if a claim arises against the indemnitee, the indemnitor can choose not to provide legal representation or manage the defense process, even if they are still responsible for indemnifying losses. This clause clarifies the parties' responsibilities regarding legal defense and ensures that the indemnitee is aware they may need to arrange their own legal counsel, thereby preventing misunderstandings about who will handle litigation.
