Common use of Decreases Clause in Contracts

Decreases. Seller shall provide the Agent with prior written notice in conformity with the Required Notice Period (a "REDUCTION NOTICE") of any proposed reduction of Aggregate Invested Amount. Such Reduction Notice shall designate (i) the date (the "PROPOSED REDUCTION DATE") upon which any such reduction of Aggregate Invested Amount shall occur (which date shall give effect to the applicable Required Notice Period), and (ii) the amount of Aggregate Invested Amount to be reduced which shall be applied ratably to all Receivable Interests in accordance with the respective Invested Amounts thereof (the "AGGREGATE REDUCTION"). Only one (1) Reduction Notice shall be outstanding at any time.

Such Reduction Notice shall designate (ia) the date (the "PROPOSED REDUCTION DATE"“Proposed Reduction Date”) upon which any such reduction of Aggregate Invested Amount shall occur (which date shall give effect to the applicable Required Notice Period), and (iib) the amount of Aggregate Invested Amount to be reduced which shall be applied ratably to all Receivable Interests Purchased Assets in accordance with the respective Invested Amounts thereof (the "AGGREGATE REDUCTION"“Aggregate Reduction”). Only one (1) Reduction Notice shall be outstanding at any time.
