Defeasance of Securities of Any Series Clause Samples

The "Defeasance of Securities of Any Series" clause allows an issuer to discharge its obligations on a particular series of securities before their maturity by meeting certain conditions, typically involving the deposit of sufficient funds or government securities with a trustee. In practice, this means that once the issuer sets aside the required assets to cover all future payments of principal and interest, the securities are considered paid off for legal and accounting purposes, even though payments to holders will continue as scheduled. This clause provides issuers with flexibility in managing their debt and gives investors assurance that their payments are secured, effectively eliminating the issuer’s ongoing obligations and risk related to those securities.
