Defect Reports Clause Samples
Defect Reports. Licensee shall be entitled to submit to Licensor written notice of a Defect (as defined below), which notice (a “Defect Report”) shall describe any Defects, identify the associated severity level of the Defects and, to the extent readily available, give the Licensor sufficient information to enable the Licensor to reproduce the Defects. Defect Reports may be submitted in Licensee’s reasonable discretion via e-mail, or fax, or other mutually acceptable means of communication.
Defect Reports. Oasys shall notify Larscom of the resolution of any defects discovered in any Product and shall provide Larscom with the necessary data, equipment and/or software to allow Larscom to distribute the solution to its customers. Larscom shall periodically supply Oasys with available repair data or defect reports, including field failure rate data, inspection tests and strife tests. On Larscom's request, Oasys shall supply to Larscom available repair data from Oasys' service facilities.
Defect Reports. Buyer shall prepare and submit to Governmental Authorities any defect and non-compliance reports required to be submitted under Applicable Laws on the Final Vehicles; provided, however, Seller, its Affiliates, and any other of its other Personnel shall provide Buyer with all information, documentation, and other requested assistance for Buyer to prepare and submit to the appropriate Governmental Authorities the required defect and non-compliance reports including (i) Emissions Defect Information Reports as may be required pursuant to 40 C.F.R. §85.1901 et seq., any Emission Warranty Information Reports, as may be required pursuant to 13 C.C.R. §2141 et seq., and any other similar emission-related defect and warranty submissions as may be required pursuant to the Applicable Laws of any other country in the Authorized Territory or jurisdiction in which the Final Vehicles are sold or (ii) any foreign defect reports that Buyer must submit under Applicable Law including, without limitation, 49 C.F.R. §579, Subpart B. Without limiting the foregoing, Seller shall provide Buyer (x) with any and all defect and non-compliance reports filed by Seller on the Base Vehicles that are not sold to Buyer and (y) engineering support in response to Buyer’s reasonable inquiries or investigations into matters involving defects or possible nonconformance with the Base Vehicles or Seller Parts (including emissions related parts or systems).

Lucid will prepare and submit to Governmental Authorities any defect and non-compliance reports required to be submitted under Applicable Laws on the Gravity Plus; provided, however, Uber will provide Lucid with information in Uber’s possession that is reasonably necessary for such Government Reports to be prepared including with respect to: (i) Emissions Defect Information Reports as may be required pursuant to 40 C.F.R. §85.1901 et seq., any Emission Warranty Information Reports as may be required pursuant to 13 C.C.R. §2141 et seq., and any other similar emission-related defect and warranty submissions as may be required pursuant to the Applicable Laws of any other country in the Authorized Territory or Jurisdiction in which the Gravity Plus are sold; or (ii) any foreign defect reports that Lucid must submit under Applicable Law including, without limitation, 49 C.F.R. §579, Subpart B.
