Common use of Defense of Action Clause in Contracts

Defense of Action. Upon receipt of an Indemnification Notice, the Indemnified Parties and the Indemnifying Parties may agree that the Indemnifying Parties shall assume the defense of such suit, action, claim, proceeding, or investigation upon such terms as they shall agree.
