Definition of Projects. Prior to the time as the Research ---------------------- Committee agrees to conduct a particular Project, the Research Committee shall define the applicable [*******]. It is understood and agreed that the [*******] shall be specifically and precisely defined and, in each case, the relevant criteria shall include [*******] and other relevant criteria as determined by the Research Committee. It is further understood and agreed that, on a case-by- case basis, the Research Committee may agree to define a Project based on [*******], as well as on the basis of [*******]. The initial Projects which will be conducted in the Research Program, unless otherwise agreed by the Research Committee, have been agreed in writing by the Parties as of the Effective Date. In connection with the definition of each Project, the Research Committee shall discuss and must agree on (a) staffing levels, duration, starting materials (e.g., Genes), technical feasibility, freedom to operate risks, research activities and goals, and successful outcomes, and (b) specific product definitions and extraction rights, in each case, to the extent not previously agreed in writing.

Definition of Projects. Each Work Statement shall be effective only when signed by both parties. References to this Agreement shall include any Work Statements in effect from time to time. A Work Statement is a project description which refers to this Agreement, describes work to be done pursuant to this Agreement, and identifies the Work Product to be produced thereunder.
