Common use of Delay of Performance Clause in Contracts

Delay of Performance. If the Performance is delayed for any reason other than force majeure, and such delay is unreasonable in PURCHASER’s sole judgement, then the flat guarantee shall be reduced in proportion to the amount of delay as a percentage of the overall length of the performance as specified in Section 1 above.
