Common use of Deliveries by the Parties Clause in Contracts

Deliveries by the Parties. On or prior to the Closing Time: (a) XL Capital shall deliver or cause to be delivered to SCA copies of all Ancillary Agreements, executed by the relevant XL Capital Parties; (b) SCA shall deliver or cause to be delivered to XL Capital copies of all Ancillary Agreements, executed by the relevant members of the SCA Group; and (c) Certificates representing the issued and outstanding shares of common stock (or interests, as applicable) of XLFA, US Holdco, XLCA and each of the Administrative Subsidiaries shall be delivered by the respective owners to the appropriate transferees, as contemplated by Section 2.1, with blank stock powers duly executed.
