Common use of Delivery by the Purchaser Clause in Contracts

Delivery by the Purchaser. At the Closing, the Purchaser shall deliver to the Shareholders the following instruments, in form and substance satisfactory to the Shareholders and their counsel, against delivery of the items specified in Section 9.2: (i) The Cash Payment as provided in Section 2.2.2; (ii) The stock certificates for the Purchase Shares as provided in Section 2.2.3; and (iii) The opinion of counsel to the Purchaser as provided in Section 8.2(vi).

Delivery by the Purchaser. At the each Closing, the Purchaser shall deliver to the Shareholders the following instruments, in form and substance satisfactory to the Shareholders and their counsel, against delivery of the items specified in Section 9.2Sections 10.2 and 10.3: (i) The Cash Payment as provided in Section 2.2.2; (ii) The stock certificates for the Purchase Shares as provided in Section 2.2.3Sections 2.2.3 through 2.2.5; and (iiiii) The opinion of counsel to the Purchaser certificate as provided in Section 8.2(vi9.2(vi).
