Common use of DELIVERY OF DOCUMENTS TO THE ADVISER Clause in Contracts

DELIVERY OF DOCUMENTS TO THE ADVISER. The SubAdviser has furnished the Adviser with true, accurate and complete copies of the following: (a) The SubAdviser's Form ADV as filed with the SEC, as of the date hereof; (b) Separate lists of persons who the SubAdviser wishes to have authorized to give written and oral instructions to custodian(s) of the Fund; (c) The Code of Ethics of the SubAdviser, as in effect on the date hereof; and (d) The Proxy Voting Policies and Procedures of the SubAdviser, as in effect on the date hereof. The SubAdviser will furnish the Adviser from time to time with copies, properly certified or otherwise authenticated, of all material amendments of or supplements to the foregoing.

The SubAdviser Subadviser has furnished the Adviser with true, accurate and complete copies of the following: (a) The SubAdviser's Subadviser’s Form ADV as filed with the SECADV, as of the date hereof; (b) Separate lists of persons who the SubAdviser Subadviser wishes to have authorized to give written and oral instructions to custodian(s) of the Fund;; and (c) The Subadviser’s Code of Ethics of the SubAdviserEthics, as in effect on the date hereof; and (d) The Proxy Voting Policy, Valuation Policy and Procedures, 206(4)-7 Policies and Procedures, and other Compliance Policies and Procedures of the SubAdviserSubadviser, as in effect on the date hereof. The SubAdviser will Subadviser shall furnish the Adviser from time to time with copies, properly certified or otherwise authenticated, of all material amendments of or supplements to the foregoing.
