Common use of Delivery of Records Clause in Contracts

Delivery of Records. If the Issuing and Principal Paying Agent or Registrar resigns or its appointment is terminated, the Issuing and Principal Paying Agent shall on the date on which the resignation or termination takes effect pay to the new Issuing and Principal Paying Agent any amount held by it for payment in respect of the Notes, Receipts or Coupons and the Issuing and Principal Paying Agent or Registrar, as the case may be, shall simultaneously deliver to the new Issuing and Principal Paying Agent or Registrar the records kept by it and all documents and forms held by it pursuant to this Agreement.

Delivery of Records. If the Issuing and Principal Paying Agent or Registrar resigns or its appointment is terminated, the Issuing and Principal Paying Agent it shall on the date on which the resignation or termination takes effect pay to the new Issuing and Principal Paying Agent any amount held by it for payment in respect of the Notes, Receipts Notes or Coupons and the Issuing and Principal Paying Agent or Registrar, as the case may be, shall simultaneously deliver to the new Issuing and Principal Paying Agent or Registrar the records kept by it and all documents Notes and forms Coupons held by it pursuant to this Agreement.

If if the Issuing and Fiscal Agent, Principal Paying Agent or Registrar resigns or its appointment is terminated, the Issuing and Principal Paying Agent shall on the date on which the resignation or termination takes effect pay to the new Issuing and Principal Paying Agent any amount held by it for payment in respect of the Notes, Receipts Notes or Coupons and the Issuing and Fiscal Agent, Principal Paying Agent or Registrar, as the case may be, shall simultaneously deliver to the new Issuing and Fiscal Agent, Principal Paying Agent or Registrar the records kept by it and all documents and forms held by it pursuant to this Agreement.

If the Issuing and Principal Paying Agent, Principal Transfer and Exchange Agent or Registrar resigns or its appointment is terminated, the Issuing and Principal Paying Agent it shall on the date on which the resignation or termination takes effect pay to the new Issuing and Principal Paying Agent Registrar any amount held by it for payment in respect of the Notes, Receipts Bonds (in the case of the resignation or Coupons termination of the Registrar) and deliver to the Issuing and new Principal Paying Agent, Principal Transfer and Exchange Agent or Registrar, Registrar (as the case may be, shall simultaneously deliver to the new Issuing and Principal Paying Agent or Registrar ) the records kept by it and all documents and forms (if any) Bonds held by it in its capacity as an Agent pursuant to this Agreement.

If the Issuing and Principal Paying Agent or Registrar resigns or its appointment is terminated, the Issuing and Principal Paying Agent it shall on the date on which the resignation or termination takes effect pay to the new Issuing and Principal Paying Agent any amount held by it for payment in respect of the Notes, Receipts or Coupons Notes and the Issuing and Principal Paying Agent or Registrar, as the case may be, shall simultaneously deliver to the new Issuing and Principal Paying Agent or Registrar the records kept by it and all documents and forms Notes held by it pursuant to this Agreement.

If the Issuing Principal Paying, Transfer and Principal Paying Conversion Agent or Registrar resigns or its appointment is terminated, the Issuing and Principal Paying Agent it shall on the date on which the resignation or termination takes effect pay to the new Issuing and Principal Paying Agent registrar any amount held by it for payment in respect of the NotesBonds (in the case of the resignation or termination of the Registrar) and deliver to the new principal paying, Receipts transfer and conversion agent or Coupons and the Issuing and Principal Paying Agent or Registrar, registrar (as the case may be, shall simultaneously deliver to the new Issuing and Principal Paying Agent or Registrar ) the records kept by it and all documents and forms (if any) Bonds held by it in its capacity as an Agent pursuant to this AgreementAgreement or otherwise as the Issuer may direct.

If the Issuing and Principal Paying and Transfer Agent or Registrar resigns or its appointment is terminated, the Issuing and Principal Paying and Transfer Agent shall on the date on which the resignation or termination takes effect pay to the new Issuing and Principal Paying and Transfer Agent any amount held by it for payment in respect of the Notes, Receipts or Coupons Notes and the Issuing and Principal Paying Agent or Registrar, as the case may be, Registrar shall simultaneously deliver to the new Issuing and Principal Paying Agent or Registrar the records kept by it and all documents and forms held by it pursuant to this Agreement..
