Delivery of replacements. Subject to receipt of sufficient replacement Temporary Global Notes, Permanent Global Notes, Definitive Notes and Coupons in accordance with Clause 3.5 (Availability), the Replacement Agent shall, upon and in accordance with the instructions of the Issuer (which instructions may, without limitation, include terms as to the payment of expenses and as to evidence, security and indemnity), authenticate (if necessary) and deliver a Temporary Global Note, Permanent Global Note, Definitive Note or Coupon as a replacement for any Temporary Global Note, Permanent Global Note, Definitive Note or Coupon which has been mutilated or defaced or which is alleged to have been destroyed, stolen or lost; provided, however, that: 5.1.1 Surrender or destruction: no Temporary Global Note, Permanent Global Note, Definitive Note or Coupon, as the case may be, shall be delivered as a replacement for any Temporary Global Note, Permanent Global Note, Definitive Note or Coupon which has been mutilated or defaced otherwise than against surrender of the same or, in the case of a Temporary Global Note or Permanent Global Note, appropriate confirmation of destruction from the Common Safekeeper and in any case the Replacement Agent shall not issue any replacement Temporary Global Note, Permanent Global Note, Definitive Note until the applicant has furnished the Replacement Agent with such evidence and indemnity as the Issuer and/or the Replacement Agent may reasonably require and has paid such costs and expenses as may be incurred in connection with such replacement; and

Delivery of replacements. Subject to receipt of sufficient replacement Temporary Global Notes, Permanent Global Notes, Definitive Notes Notes, Coupons, Global Note Certificates and Coupons Individual Note Certificates in accordance with Clause 3.5 3.9 (AvailabilityDuties of Principal Paying Agent, Registrar and Replacement Agent), the Replacement Agent shall, upon and in accordance with the instructions of the Issuer (which instructions may, without limitation, include terms as to the payment of expenses and as to evidence, security and indemnity)indemnity satisfactory to the Replacement Agent) of the Relevant Issuer but not otherwise, authenticate (if necessary) and deliver a Temporary Global Note, Permanent Global Note, Definitive Note, Coupon, Global Note Certificate or Coupon Individual Note Certificate as the case may be, as a replacement for any Temporary Global Note, Permanent Global Note, Definitive Note or Coupon of the same which has been mutilated or defaced or which is has or has been alleged to have been destroyed, stolen or lost; lost provided, however, that: 5.1.1 Surrender or destruction: no Temporary Global Note, Permanent Global Note, Definitive Note or Note, Coupon, Global Note Certificate or Individual Note Certificate as the case may be, shall be delivered as a replacement for any Temporary Global Note, Permanent Global Note, Definitive Note or Coupon of the same which has been mutilated or defaced otherwise than against surrender of the same or, in the case of a an NGN Temporary Global Note or an NGN Permanent Global NoteNote or a Global Note Certificate to be held under the NSS, appropriate confirmation of destruction from the Common Safekeeper and in any case the Replacement Agent shall not issue any replacement Temporary Global Note, Permanent Global Note, Definitive Note until the applicant has furnished the Replacement Agent with such evidence and indemnity as the Issuer and/or the Replacement Agent may reasonably require and has paid such costs and expenses as may be incurred in connection with such replacementSafekeeper; and

The Replacement Agent shall not issue a replacement for any replacement Temporary Global Note, Permanent Global Note, Definitive Note of the same until the applicant has furnished the Replacement Agent with such evidence and indemnity as the Relevant Issuer, the Guarantor (where the Relevant Issuer is CBQ Finance Limited) and/or the Replacement Agent may reasonably require and has paid such costs and expenses as may be incurred in connection with such replacement; and.

The Replacement Agent shall not issue a replacement for any replacement Temporary Global Note, Permanent Global Note, Definitive Note of the same until the applicant has furnished the Replacement Agent with such evidence and indemnity as the Issuer and/or the Replacement Agent may reasonably require and has paid such costs and expenses as may be incurred in connection with such replacement; and.

The Replacement Agent shall not issue a replacement for any replacement Temporary Global Note, Permanent Global Note, Definitive Note of the same until the applicant has furnished the Replacement Agent with such evidence and indemnity as the Issuer and/or the Replacement Agent may reasonably require and has paid such costs and expenses as may be incurred in connection with such replacement; and.

Delivery of replacements. Subject to receipt of sufficient replacement Temporary Global Notes, Permanent Global Notes, Definitive Notes, Coupons, Talons, Global Registered Notes and Coupons Individual Note Certificates in accordance with Clause 3.5 4.9 (AvailabilityDuties of Fiscal Agent, Registrar and Replacement Agent), the Replacement Agent shall, at its Specified Office and upon and in accordance with the instructions of the Issuer (which instructions may, without limitation, include terms as to the payment of expenses and as to evidence, security and indemnity)) of the Issuer but not otherwise, authenticate (if necessary) and deliver provide (or deliver) a Temporary Global Note, Permanent Global Note, Definitive Note, Coupon, Talon, Global Registered Note or Coupon Individual Note Certificate, as the case may be, as a replacement for any Temporary Global Note, Permanent Global Note, Definitive Note or Coupon of the same which has been mutilated or defaced or which is has or has been alleged to have been destroyed, stolen or lost; provided, however, that: 5.1.1 Surrender or destruction: that no Temporary Global Note, Permanent Global Note, Definitive Note, Coupon, Global Registered Note or CouponIndividual Note Certificate, as the case may be, shall be delivered provided (or delivered) as a replacement for any Temporary Global Note, Permanent Global Note, Definitive Note or Coupon of the same which has been mutilated or defaced otherwise than against surrender of the same or, in the case of a Temporary Global Note or Permanent Global Note, appropriate confirmation of destruction from the Common Safekeeper and in any case the same. The Replacement Agent shall not issue a replacement for any replacement Temporary Global Note, Permanent Global Note, Definitive Note of the same until the applicant has furnished the Replacement Agent with such evidence and indemnity as the Issuer and/or the Replacement Agent may reasonably require and has paid such costs and expenses as may be incurred in connection with such replacement; and.

Delivery of replacements. Subject to receipt of sufficient replacement Temporary Global Notes, Permanent Global Notes, Definitive Notes, Coupons, Talons, Global Registered Notes and Coupons Individual Note Certificates in accordance with Clause 3.5 4.9 (AvailabilityDuties of Fiscal Agent and Replacement Agent), the Replacement Agent shall, at its Specified Office and upon and in accordance with the instructions of the Issuer (which instructions may, without limitation, include terms as to the payment of expenses and as to evidence, security and indemnity)) of the Issuer but not otherwise, authenticate (if necessary) and deliver provide (or deliver) a Temporary Global Note, Permanent Global Note, Definitive Note, Coupon, Talon, Global Registered Note or Coupon Individual Note Certificate, as the case may be, as a replacement for any Temporary Global Note, Permanent Global Note, Definitive Note or Coupon of the same which has been mutilated or defaced or which is has or has been alleged to have been destroyed, stolen or lost; provided, however, that: 5.1.1 Surrender or destruction: that no Temporary Global Note, Permanent Global Note, Definitive Note, Coupon, Global Registered Note or CouponIndividual Note Certificate, as the case may be, shall be delivered provided (or delivered) as a replacement for any Temporary Global Note, Permanent Global Note, Definitive Note or Coupon of the same which has been mutilated or defaced otherwise than against surrender of the same or, in the case of a Temporary Global Note or Permanent Global Note, appropriate confirmation of destruction from the Common Safekeeper and in any case the same. Subject to receipt of sufficient replacement Temporary Global Notes, Permanent Global Notes, Definitive Notes, Coupons, Global Registered Notes and Coupons Individual Note Certificates in accordance with Clause 3.5 4.10 (AvailabilityDuties of Fiscal Agent, Registrar and Replacement Agent), the Replacement Agent shall, upon and in accordance with the instructions of the Issuer (which instructions may, without limitation, include terms as to the payment of expenses and as to evidence, security and indemnity)) of the Issuer but not otherwise, authenticate (if necessary) and deliver a Temporary Global Note, Permanent Global Note, Definitive Note, Coupon, Global Registered Note or Coupon Individual Note Certificate as the case may be, as a replacement for any Temporary Global Note, Permanent Global Note, Definitive Note or Coupon of the same which has been mutilated or defaced or which is has or has been alleged to have been destroyed, stolen or lost; lost provided, however, that: 5.1.1 6.1.1 Surrender or destruction: no Temporary Global Note, Permanent Global Note, Definitive Note, Coupon, Global Registered Note or Coupon, Individual Note Certificate as the case may be, shall be delivered as a replacement for any Temporary Global Note, Permanent Global Note, Definitive Note or Coupon of the same which has been mutilated or defaced otherwise than against surrender of the same or, in the case of a an NGN Temporary Global Note or an NGN Permanent Global Note, or a Global Registered Note to be held under the NSS appropriate confirmation of destruction from the Common Safekeeper and in any case the Replacement Agent shall not issue any replacement Temporary Global Note, Permanent Global Note, Definitive Note until the applicant has furnished the Replacement Agent with such evidence and indemnity as the Issuer and/or the Replacement Agent may reasonably require and has paid such costs and expenses as may be incurred in connection with such replacementSafekeeper; and

Subject to receipt of sufficient replacement Temporary Global Notes, Permanent Global Notes, Definitive Notes and Coupons in accordance with Clause 3.5 (Availability), the Replacement Agent shall, upon and in accordance with the instructions of the Issuer (which instructions may, without limitation, include terms as to the payment of expenses and as to evidence, security and indemnity), authenticate (if necessary) and deliver a Temporary Global Note, Permanent Global Note, Definitive Note or Coupon as a replacement for any Temporary Global Note, Permanent Global Note, Definitive Note or Coupon which has been mutilated or defaced or which is alleged to have been destroyed, stolen or lost; provided, however, that: 5.1.1 Surrender or destruction: no Temporary Global Note, Permanent Global Note, Definitive Note or Coupon, as the case may be, shall be delivered as a replacement for any Temporary Global Note, Permanent Global Note, Definitive Note or Coupon which has been mutilated or defaced otherwise than against surrender of the same or, in the case of a Temporary Global Note or Permanent Global Note, appropriate confirmation of destruction from the Common Safekeeper and in any case the Replacement Agent shall not issue any replacement Temporary Global Note, Permanent Global Note, Definitive Note or Coupon until the applicant has furnished the Replacement Agent with such evidence and indemnity as the Issuer and/or the Replacement Agent may reasonably require and has paid such costs and expenses as may be incurred in connection with such replacement; and
