Delivery of the Shares and Warrants at Closing Sample Clauses

The "Delivery of the Shares and Warrants at Closing" clause sets out the obligation for the seller to transfer ownership of shares and warrants to the buyer at the time the transaction is finalized. Typically, this involves the seller providing physical certificates or electronic records representing the shares and warrants, and ensuring all necessary endorsements or transfer documents are completed. This clause ensures that the buyer receives the agreed-upon securities promptly at closing, thereby facilitating a smooth and enforceable transfer of ownership and reducing the risk of post-closing disputes.
