Deposit of Certificates. In order to ensure that the Grantee complies with the provisions of this Agreement, and that no transfers of Shares are made in violation hereof, all certificates representing all unvested Shares shall be deposited with the Company or its designee. As Shares become vested, certificates evidencing such Shares shall be delivered to Grantee.

Deposit of Certificates. At that time the Company shall also deliver to the Grantee any declared but unpaid dividends or distributions with respect to such vested Shares which the Company has retained pursuant to Section 1.2 above.
