Common use of Deposit with Paying Agent Clause in Contracts

Deposit with Paying Agent. Prior to the Effective Time, ▇▇▇▇ shall designate a bank or trust company reasonably acceptable to EUA to act as agent (the "Paying Agent") for the benefit of the holders of EUA Shares in connection with the Merger to receive the funds to which holders of EUA Shares shall become entitled pursuant to Section 2.01(b)(ii) (the "Exchange Fund").
