Common use of Deposits Unavailable Clause in Contracts

Deposits Unavailable. If the Agent shall have determined that (a) Dollar certificates of deposit or Dollar deposits, as the case may be, in the relevant amount and for the relevant Interest Period are not available to a Lender in its relevant market; or (b) by reason of circumstances affecting a Lender’s relevant market, adequate means do not exist for ascertaining the interest rate applicable hereunder to LIBO Rate Loans of such type, then, upon notice from the Agent to the Borrower and the Lenders, subject to the provisions of Section 4.11 hereof, the obligations of all Lenders under Section 2.3 and Section 2.4 to make or continue any Loans as, or to convert any Loans into, LIBO Rate Loans of such type shall forthwith be suspended until the Agent shall notify the Borrower and the Lenders that the circumstances causing such suspension no longer exist.

If the Paying Agent shall have reasonably determined that (a) Dollar certificates of deposit or Dollar deposits, as the case may be, in the relevant amount and for the relevant Interest Period are not available to a Lender the Paying Agent in its relevant market; or (b) by reason of circumstances affecting a Lender’s the Paying Agent's relevant market, adequate means do not exist for ascertaining the interest rate applicable hereunder to LIBO Rate Loans of such type, then, upon notice from the Paying Agent to the Borrower Parent and the Lenders, subject to the provisions of Section 4.11 hereof, the obligations of all Lenders under Section 2.3 and Section 2.4 to make or continue any Loans as, or to convert any Loans into, LIBO Rate Loans of such type shall forthwith be suspended until the Paying Agent shall notify the Borrower Parent and the Lenders that the circumstances causing such suspension no longer exist.

Deposits Unavailable. If the Agent shall have determined determined, or shall be informed by a Lender, that (a) Dollar certificates of deposit or Dollar deposits, as the case may be, in the relevant amount and for the relevant Interest Period are not available to a Shawmut or such Lender in its relevant market; or (b) by reason of circumstances affecting a Lender’s such relevant market, adequate means do not exist for ascertaining the interest rate applicable hereunder to LIBO Rate Loans of such typeLoans, then, upon notice from the Agent to the Borrower and the Lenders, subject to the provisions Lenders of Section 4.11 hereofsuch fact, the obligations of all Lenders under Section Sections 2.3 and Section 2.4 to make or continue any Loans as, or to convert any Loans into, LIBO Rate Loans of such type shall forthwith be suspended until the Agent shall notify determine, or be informed, that and, in either case, shall give notice to the Borrower and the other Lenders that that, the circumstances causing such suspension no longer exist.

If the Agent shall have determined thatthat -------------------- (a) Dollar certificates of deposit or Dollar deposits, as the case may be, in the relevant amount and for the relevant Interest Period are not available to a Lender in its relevant market; or (b) by reason of circumstances affecting a Lender’s 's relevant market, adequate means do not exist for ascertaining the interest rate applicable hereunder to LIBO Rate Loans of such type, then, upon notice from the Agent to the Borrower and the Lenders, subject to the provisions of Section 4.11 hereof, the obligations of all Lenders under Section 2.3 and Section 2.4 to make or continue any Loans as, or to convert any Loans into, LIBO Rate Loans of such type shall forthwith be suspended until the Agent shall notify the Borrower and the Lenders that the circumstances causing such suspension no longer exist.
