Description and Condition of Vessel. At the date of delivery of the Vessel under this charter and throughout the charter period: (a) she shall be classed by a classification society (“Classification Society”), which is a member of the International Association of Classification Societies; (b) if she is fifteen years old or over she shall obtain and maintain a LNG Condition Assessment Programme (“CAP”) of not less than two (2); (c) she shall be in every way fit to load, carry, discharge and measure Liquefied Natural Gas (“LNG”); (d) she shall be tight, staunch, strong, in good order and condition, and in every way fit for the service, with her machinery, boilers, hull and other equipment (including but not limited to hull stress calculator, radar, computers and computer systems) in a good and efficient state; (e) her tanks, valves and pipelines shall be liquid and gas tight; she shall have a working inert gas system and nitrogen generator with officers and crew experienced in the operation of both; (f) she shall be in every way fitted for burning fuels, in accordance with the grades specified in Clause 6 hereof: (i) at sea, fuel oil in any proportion with LNG Boil-Off or 100% LNG Boil-Off for main propulsion (allowing the use of diesel oil for pilot). When transiting and manoeuvring in restricted waters only dual fuel mode is permitted; Owners and Charterers will discuss in good faith future operational process changes to allow 100% boil-off during transiting and manoeuvring (provided it can be demonstrated to be safe and reliable for the proposed operating modes); and heavy fuel oil, marine diesel oil and marine gas oil for auxiliaries; (ii) in port, fuel oil in boilers; and fuel oil in any proportion with LNG Boil-Off or 100% LNG Boil-Off (however always using a minimal amount of diesel oil for pilot purposes) for power generation; (iii) in all cases able to comply with all national and international emissions compliance regulations applicable to Charterers’ required trading routes in force at the keel laying date for a minimum of six (6) days at NCR without burning LNG; although Charterers shall allow Owners to take advantage of all relevant national and international waivers that exist related to the year of construction for future changes in regulations. (iv) in all eases able to maintain continuous safe operation of the vessel and all auxiliary equipment during switchover between different types of fuel in any consumer. Description and Condition of Vessel. At the date of delivery, Owners shall deliver the Vessel clean and suitable for all intended cargoes. The Owners undertake that: a. the tanker shall be classed ABS; b. she shall be in every way fit to carry clean or dirty petroleum products and easy chemicals including: vacuum gas oil, all grades of gasoline and distillates, ethanol, denatured ethanol, naphtha, natural gasoline, blendstocks, unfinished petroleum products, as limited by ABS, US Coast Guard, coating resistance tables, and manufacturers’ warranties; c. she shall be tight, staunch, strong, in good order and condition, and in every way fit for the service, with her machinery, boilers, hull and other equipment (including but not limited to trim/stability calculator and radar) in a good and efficient state; d. her tanks, valves and pipelines shall be oil-tight; e. she shall be in every way fitted for burning the fuel described in Clause 29 below as long as such specified fuel allows Vessel’s engines to meet emission standards in accordance with local, state, EPA and IMO rules. f. she shall comply with the regulations in force so as to enable her to pass through the Panama Canal without delay; g. she shall have on board all certificates, documents and equipment required from time to time by any applicable law to enable her to perform the charter service without delay; and h. she shall comply with the description in Attachment III appended hereto, provided however, that if there is any conflict between the provisions of Attachment III and any other provision, of this Charter, including this Clause 1, such other provision shall govern.
Description and Condition of Vessel. 6.1 Owners shall provide an Interim Vessel and a Newbuild Vessel which shall be of the descriptions set out in Schedule I. Owners shall not deviate from such descriptions without the prior consent of Enterprise. 6.2 Where, in respect of the Newbuild Vessel Schedule I provides for alternative or equivalent specifications or items of equipment to be used, then Owners shall adopt the most specific requirements of Schedule I and shall not adopt alternatives or equivalents without the prior written consent of Enterprise to the alternative or equivalent proposed. 6.3 The Vessels shall be delivered in Brazilian Special Registry, REB, and thereafter maintained in Brazilian Special Registry, REB, until redelivery. 6.4 With respect to the Interim Vessel, Owners and Enterprise shall jointly appoint an independent surveyor for the purpose of determining and agreeing in writing, the condition of the Interim Vessel, and the quality and quantity of fuel, lubricants and water at the time of acceptance and redelivery hereunder. Owners and Enterprise shall jointly, share the time and expense of such surveys. The independent surveyor shall not be empowered to accept the Interim Vessel on behalf of Enterprise. 6.5 Owners shall make and keep the Vessels in every way fit for service in accordance with Article 2 in all weather and working conditions with her hull, machinery and equipment in such a state as to obtain the most economic working thereof and planned maintenance schedules up to date at all times. 6.6 The Newbuild Vessel shall be classed as DNV Class +1A1, Tug, SF, EO, FiFil, Dynpos AUTR, Oil Recovery; or equivalent classification within the International Association of Classification Societies (IACS) and shall be fully maintained in Class and remain seaworthy and fit for purpose from the Newbuild Vessel Delivery Date until the end of the Charter. 6.7 Owners shall ensure that the Vessel’s tanks containing bulk cargo, fuel and potable water are kept clean and free from contamination prior to the period of the Charter.

  • General Conditions Applicable to Option to Build If the Interconnection Customer assumes responsibility for the design, procurement and construction of the Participating TO's Interconnection Facilities and Stand Alone Network Upgrades, (1) the Interconnection Customer shall engineer, procure equipment, and construct the Participating TO's Interconnection Facilities and Stand Alone Network Upgrades (or portions thereof) using Good Utility Practice and using standards and specifications provided in advance by the Participating TO; (2) The Interconnection Customer’s engineering, procurement and construction of the Participating TO's Interconnection Facilities and Stand Alone Network Upgrades shall comply with all requirements of law to which the Participating TO would be subject in the engineering, procurement or construction of the Participating TO's Interconnection Facilities and Stand Alone Network Upgrades; (3) the Participating TO shall review, and the Interconnection Customer shall obtain the Participating TO’s approval of, the engineering design, equipment acceptance tests, and the construction of the Participating TO's Interconnection Facilities and Stand Alone Network Upgrades, which approval shall not be unreasonably withheld, and the CAISO may, at its option, review the engineering design, equipment acceptance tests, and the construction of the Participating TO's Interconnection Facilities and Stand Alone Network Upgrades; (4) prior to commencement of construction, the Interconnection Customer shall provide to the Participating TO, with a copy to the CAISO for informational purposes, a schedule for construction of the Participating TO's Interconnection Facilities and Stand Alone Network Upgrades, and shall promptly respond to requests for information from the Participating TO; (5) at any time during construction, the Participating TO shall have the right to gain unrestricted access to the Participating TO's Interconnection Facilities and Stand Alone Network Upgrades and to conduct inspections of the same; (6) at any time during construction, should any phase of the engineering, equipment procurement, or construction of the Participating TO's Interconnection Facilities and Stand Alone Network Upgrades not meet the standards and specifications provided by the Participating TO, the Interconnection Customer shall be obligated to remedy deficiencies in that portion of the Participating TO's Interconnection Facilities and Stand Alone Network Upgrades; (7) the Interconnection Customer shall indemnify the CAISO and Participating TO for claims arising from the Interconnection Customer's construction of the Participating TO's Interconnection Facilities and Stand Alone Network Upgrades under the terms and procedures applicable to Article 18.1

  • General Conditions (i) Each party will make each payment or delivery specified in each Confirmation to be made by it, subject to the other provisions of this Agreement.
