Design and Production. 10 Each BBS must be manufactured in accordance with a written manufacturer’s Quality 11 Assurance program. The QA program must include, as a minimum, specific design and 12 production QA procedures.

Design and Production. 4.1 During the Term, Licensor will provide design services to Licensee as provided in this Section 4, and Licensee will only utilize designs provided or approved by Licensor on Licensed Products. Design calendars may be updated from time to time upon mutual agreement of the parties, any such updates to be agreed to in adequate time for both parties to comply with such updated calendar. 4.2 Licensee agrees to consider Licensor’s suggestions regarding fabric and trim vendors. Licensee has the final approval regarding which fabric and trim vendor will be utilized, provided that Licensee meets the Licensor’s specifications in the product packages. 4.3 If Licensor provides the product design, Licensor is responsible for providing the design aesthetic, including color, concept, print and pattern, substantially in the form of the product packages in Exhibit E. Beginning on March 1, 2010, or as soon as the parties are reasonably able to meet software and technical requirements, both parties will be responsible for directly utilizing the Flex PLM system, provided Licensee will be responsible for any license fees related to the Flex PLM system incurred by Licensor. Licensor may, from time to time, request that Licensee provide designs. In such event, Licensee will provide such designs for Licensor’s approval, including color, concept, print and pattern. 4.5 Licensee will provide the Concept Sample and submit to Licensor. Licensor will evaluate the Concept Sample to ensure it meets the design specifications and for initial fit. On the initial fit, Licensor will give feedback as to technical specifications and design aesthetic to bring the Concept Sample in line with the original design aesthetic. If Licensor, in its reasonable discretion, advises Licensee that such Concept Sample materially differs from the design specifications or fit, Licensee will revise and resubmit a Concept Sample. 4.6 Licensee will be responsible for the final approval of color, production and fit, consistent with the design specifications. Design and Production. For the purposes of package design, the Artist will provide complete, detailed and final repertoire, liner notes, biographical information and recording credits, along with workable high resolution images, all in electronic form and all with necessary permissions in place. MSR reserves the right of approval of all materials submitted for production. The Artist will approve the layout and accuracy of all materials before final graphics are submitted for production. Costs associated with image licensing, package alterations (including, but not limited to, additional pages) and/or post-approval changes or corrective re-manufacture, will be covered by the Artist. One-thousand (1000) Compact Discs will be replicated in the following configuration: 6-page 4/1 color folder, 4/4 color tray card, UPC-barcode, 3-color screenprint CD label, clear-tray jewel case and shrinkwrap. Additional booklet pages are accompanied by incremental cost increases: 6 to 8 pages +$100; 6 to 12 pages +$300; etc.

Design and Production. Clothing items Subject to all terms and conditions set forth herein, Startale hereby engages AKA to design, create patterns and manufacture Startale Products according to the following schedule: a) Design stage - Phase I AKA will meet and lay out Startale's goals and design ideas for the line of apparel. After the initial discussion, AKA will create a project design document, which shall be set forth in reasonable and customary detail, and shall include in such plans commercially reasonable descriptions of intended project goals and major design considerations. The project design document shall be submitted no later than September 30, 2007. Startale will review and sign-off on the project outline. b) Design stage - Phase II After initial sign-off on mutually agreed upon project goals, AKA will submit initial drawings and fabric samples to Startale, no later than 60 days after signing date of the project outline. Startale reserves the right to reject original design and fabric samples. AKA shall use its best efforts to satisfy Startale demands for their designs. Startale shall take possession of ownership and copyright to any and all designs, patterns and ideas submitted to it by AKA. c) Pre-production stage Startale agrees to approve designs or submit their comments about changes within 5 business days of receipt of revisions from AKA. Upon sign-off on the design from Startale, AKA will proceed to develop the pattern and manufacture first samples for submission to Startale. The first samples shall be submitted to Startale no later than 60 days after sign-off on design.

Licensee will be solely responsible for, and shall pay all costs and expenses relating to, developing Licensed Products, making all prototypes, samples, and all aspects of the production of Licensed Products. Any and all such items shall be approved by Licensor, in writing. If Licensor rejects any Specifications, Licensee shall make changes and corrections to conform the Licensed Product to the high quality and design standards prescribed by Licensor and shall resubmit the Specifications for approval. Licensee shall not make a prototype using any Specifications rejected by Licensor. (c) Prior to samples being produced, Licensee shall submit to Licensor a prototype. Licensor shall notify Licensee, in writing, within thirty (30) days of receipt whether Licensor accepts or rejects the prototype, provided, however, that Licensor’s failure to accept or reject within the thirty (30) day period shall be deemed a rejection. If Licensor rejects any prototype, Licensee shall not proceed to produce a sample of such Licensed Product and shall coordinate with Licensor, at Licensee’s sole cost and expense, to make changes and corrections to conform the prototype to the high quality and design standards prescribed by Licensor and, upon Licensor’s request, shall resubmit another prototype for written approval. Licensee shall not produce a sample of any Licensed Product until Licensor approves the prototype. (d) Licensee will submit to Licensor for inspection, ten (10) top-of-the-line production samples of each Licensed Product, so Licensor may assure itself that required quality standards are being maintained.   • Ownership Title to Project Deliverables This clause shall apply where Contractor is commissioned by the Authorized User to furnish project deliverables as detailed in the Purchase Order.

  • Supplier Development If the Buyer detects performance problems of the Supplier based on the supplier monitoring, he shall initiate improvement measures at the Supplier. The Buyer shall monitor the possibilities of continuous improvement of the Supplier and declares his support for the continuous development of the QMS of his suppliers in accordance with this QAA. The information required for this purpose is passed on to the Supplier. The supplier audit is a form of supplier development by the Buyer and also serves the exchange of information and experience between the Buyer and the Supplier.

  • Development Work The Support Standards do not include development work either (i) on software not licensed from CentralSquare or (ii) development work for enhancements or features that are outside the documented functionality of the Solutions, except such work as may be specifically purchased and outlined in Exhibit 1. CentralSquare retains all Intellectual Property Rights in development work performed and Customer may request consulting and development work from CentralSquare as a separate billable service.
