Design-Build Work. In the event that MBUSI asks Supplier to perform any Services or manufacture the Items on a design-build basis, Supplier shall perform all design, manufacture, construction and/or installation services, and provide all material, equipment, tools and labor necessary to complete the Items and Services described in and reasonably inferable from the Agreement to produce the intended result. Supplier shall, consistent with applicable state licensing law, provide or procure the necessary design services, including architectural, engineering and other design professional services, for the preparation of both drawings and specifications to enable the Supplier to complete the Items and Services in a manner that is consistent with the Agreement. Supplier shall continuously submit interim design documents to MBUSI for MBUSI's review per MBUSI's schedule. If MBUSI does not approve the submissions, MBUSI will return them to Supplier and Supplier shall revise the submissions and return them to MBUSI within five (5) days for approval. Once the detailed drawings and specifications have been approved by MBUSI, they shall become the Specifications. Supplier shall submit one set of the final drawings and final specifications to MBUSI immediately upon such approval. MBUSI's review and approval of the design submissions is for purposes of establishing an acceptable set of drawings and specifications which are in line with its requirements.
Design-Build Work. To the extent that any portion of the Work under this Agreement is designated as design- build, including any portion of MEP work, Subcontractor agrees as follows. § 14.10.1 Subcontractor acknowledges that that Contractor is relying upon Subcontractor to perform all necessary design services and coordination for Subcontractor’s Work to comprise a completely operational system or systems, integrated with the other components of the Project, meeting the Owner’s requirements, and incompliance with applicable codes and laws, including to the extent applicable the ADA and FHA. § 14.10.2 Subcontractor shall procure all design services in connection with its work from licensed, independent professionals. If the person providing the design services for Subcontractor is an independent design professional, the services shall be provided pursuant to a written agreement acceptable to Contractor and all such agreements shall include appropriate indemnities by such design professional toward Contractor and (if required by the Prime Contract) Owner and shall require appropriate amounts of professional liability insurance. Contractor reserves the right to object to the persons or employees that Subcontractor intends to utilize for design services, in which case Subcontractor at its sole cost shall utilize other persons, acceptable to Contractor, for such services. § 14.10.3 Subcontractor shall prepare, for written approval by the Contractor and Owner, schematic design documents consisting of drawings illustrating the basic components of the design of the Subcontractor’s Work and their relationship to other Project elements. Three printed sets and one reproducible set of these documents, at a minimum, shall be provided to Contractor. Following completion of the schematic design documents, Subcontractor shall update the preliminary schedule and estimate for the Contractor’s review and approval. Approval by the Contractor, Owner, or Architect of any submittals by Subcontractor shall not relieve Subcontractor from its obligations under the Subcontract Documents, including its obligation to comply with applicable codes and law. § 14.10.4 Based upon the approved schematic design documents, Subcontractor shall prepare, for approval by the Contractor and Owner, design development documents consisting of further definition of design elements, including drawings, outline specifications, and other documents to fix and describe the size and character of the Subcontractor’s Work, incl...
Design-Build Work. If and to the extent Subcontractor’s Work calls for or requires any design or engineering to be provided by or performed by Subcontractor, Subcontractor acknowledges it has full responsibility for the adequacy, accuracy and conformance of such design or engineering work and that the Contractor is entitled to rely thereon. Subcontractor warrants that all such design and engineering provided or performed by it shall fully comply with all contract requirements, all codes, laws and regulations, and shall be performed consistent with the highest professional standards. Subcontractor shall reimburse or indemnify, pursuant to the indemnification obligation herein, Contractor for all costs, losses, damages, etc., caused by or resulting from any nonconformity, inadequacy, or inaccuracy, etc., in Subcontractor’s design or engineering. Subcontractors who are required by the specifications to furnish engineering drawings and calculations by a qualified licensed professional shall require the licensed design professional to provide Design Errors and Omissions/Professional Liability insurance certification in compliance with Exhibit “A” to this Subcontract.

Design-Build Work. (A) During performance of the Design-Build Work for the 395 Project, the Department has established an on-the-job training goal of seventeen (17) participants for the 395 Concessionaire Assets and an on-the-job training goal of seven (7) participants for the 395 Department Assets. New hire participation represents employees paid specifically for work performed on the 395 Project and may be randomly verified through the checking of payrolls. Hiring by subcontractors will count toward meeting the goals. (B) The Department and the Concessionaire agree to manage the foregoing goals as follows: (1) the Concessionaire will submit for the Department’s review and approval an initial Hiring Development Plan, and an updated Hiring Development Plan as further described in this Agreement. The initial and updated Hiring Development Plan will be submitted within 30 Days after the 395 Project has achieved 395 Financial Close and on January 30 of each year prior to achieving 395 Final Completion. The Hiring Development Plan will define the Concessionaire’s approach to meeting the workforce minimum requirements set forth in Section 24.03(c)(ii)(A); (2) the Concessionaire will designate resources, including a liaison officer designated and made known to the Department who is assigned the responsibility of administering and promoting an active and inclusive Hiring Development Plan to ensure all programs related to the Hiring Development Plan are compliant with this Section 24.03(c). The designation and identity of this officer will be submitted as part of the initial and updated Hiring Development Plan; (3) the Concessionaire will ensure that local workers and veterans have been given full and fair opportunity to participate in the hiring process for vacant positions; (4) the Concessionaire will make Good Faith Efforts to obtain local workers and veterans’ participation in the execution and performance of this 194 DMEAST #27287336 v26 Agreement at or above the established local worker and veteran hiring goals set forth in this Agreement; (5) the Concessionaire will provide to the Department each calendar quarter, after approval of the Initial Hiring Development Plan, documentation of all local worker and veteran workforces; and (6) each calendar quarter, the Concessionaire will provide Good Faith Efforts documentation using Form C-66, VDOT Local Worker and Veteran Employment Report or equivalent tracking measures and other supplemental information as appropriate. Such services shall be performed by one or more employees or consultants of the Construction Manager or a Subcontractor. The Construction Manager shall ensure that all such design services and documents, during both the design and construction phases, are coordinated with the services and documents of the Design Professional and its consultants in the interests of the Owner and the Project. § 3.1.15.1 Drawings, specifications, and all other documents furnished by Construction Manager or Construction Manager’s design-build Subcontractors, including those in electronic form (“Design-Build Work Product”) to the extent prepared specifically for this Project shall be provided to the Owner by request, be considered the exclusive property of Owner and all copyrights and other rights shall hereby be assigned to Owner.
