Design Meetings. (a) In order to obtain input in the preparation of, and prior to submitting, the Design Development Submittals and the Construction Document Submittals, the Parties will hold design review meetings (the “Design Review Meetings”) with the CTC Design Team and hold user group design workshops (the “Design Workshops”) beginning immediately after Commercial Close upon the following terms: (i) the Project Co Representative shall arrange the Design Review Meetings and Design Workshops in consultation with the CTC Representative; (ii) all Design Review Meetings and all Design Workshops shall be held in Hamilton, Ontario, unless the CTC otherwise agrees in writing; (iii) the Parties shall cooperate to develop a reasonable schedule for the Design Review Meetings and the Design Workshops and shall incorporate such schedule into the Works Schedule; (iv) Project Co shall circulate to the CTC Representative an agenda for each of the Design Review Meetings and each of the Design Workshops no later than 10 Business Days prior to the relevant Design Review Meeting and/or Design Workshop; (v) Project Co shall circulate to the CTC Representative the information to be shared with the user groups no later than 5 Business Days prior to the relevant Design Workshop; (vi) the Design Review Meetings and Design Workshops shall be held in person, except where otherwise agreed by the Parties, acting reasonably; (vii) Project Co shall maintain minutes of the Design Review Meetings and Design Workshops, including possible design solutions and changes in design, and, within two Business Days after each Design Review Meeting and Design Workshop, Project Co shall provide to the CTC Representative a copy of the minutes, together with a copy of any notes, comments, sketches, drawings, tracings, lay-outs, plans or diagrams prepared at the Design Review Meeting and Design Workshop; (viii) the CTC and Project Co agree that the subject matter of the Design Review Meetings and Design Workshops shall not be regarded as Submittals to which Schedule 10 - Review Procedure applies, and that the CTC shall not be bound by the input provided in connection with the Design Review Meetings and Design Workshops; (ix) Project Co shall submit to the CTC the Design Development Submittals or the Construction Document Submittals, as applicable, for review pursuant to Schedule 10 - Review Procedure; and (x) the Parties agree that, with respect to the Design Development Submittals and the Construction Document Submittals, the period for review shall be 15 Business Days as prescribed in Section 2.4 of Schedule 10 - Review Procedure. (b) Prior to the 100% Design Development Submittals, the Parties will hold Design Review Meetings and/or Design Workshops (as required by the CTC) with respect to the following matters and any other Design Review Meetings and Design Workshops required by Project Co or the CTC, each acting reasonably: (i) all items listed in Sections 1 and 2 of Appendix A of Schedule 10 – Review Procedure; (ii) site plan (traffic, parking, access, landscaping, site furniture, stormwater management, services, grading); (iii) part plan layouts; (iv) vertical and horizontal circulation diagrams; (v) elevator configurations; (vi) materials management strategies; (vii) exterior elevations including exterior finishes; (viii) room layouts; (ix) millwork/modular systems furniture including interior elevations; (x) Equipment coordination; (xi) information and communication technology; (xii) utilities and plant layouts and functionality; (xiii) interior finishes and ceiling plans; (xiv) door/hardware/security functionality; (xv) art and artefacts; and (xvi) signage and wayfinding. (c) Prior to the 50% and 100% Construction Documents Submittals, the Parties will hold Design Review Meetings and/or Design Workshops (as required by the CTC) with respect to the following matters and any other Design Review Meetings and/or Design Workshops required by Project Co or the CTC, each acting reasonably: (i) millwork details; (ii) physical Product samples for the CTC Design Team and user review; (iii) office area layout details; (iv) Equipment and Existing Equipment coordination details; (v) signage and wayfinding; (vi) detailed engineering system solutions; and (vii) facilities management, building durability and energy efficiency considerations. (d) The purpose of the Design Review Meetings and Design Workshops is to facilitate the incorporation of the CTC Design Team and user input, involvement and feedback into the Design Data prior to submission of such Design Data in accordance with Schedule 10 - Review Procedure.

(ix) Project Co shall submit to the CTC College the Design Development Submittals or the Construction Document Submittals, as applicable, for review pursuant to Schedule 10 - Review Procedure; and
(x) the Parties agree that, with respect to the Design Development Submittals and the Construction Document Submittals, the period for review shall be 15 Business Days as rather than the 10 Business Days prescribed in Section 2.4 2.2 of Schedule 10 - Review Procedure.
(b) Prior to the 50% and 75% Design Development Submittals, the Parties will hold Design Review Meetings and/or Design Workshops (as required by the College) with respect to the following matters and any other Design Review Meetings and Design Workshops required by Project Co or the College, each acting reasonably:
(i) site plan, including traffic, parking, access and landscaping;
(ii) space planning and room layouts, including floor plans and circulation diagrams;
(iii) exterior elevations, including materials, finishes and colours;
(iv) interior materials, finishes and colours;
(v) millwork;
(vi) FF&E, including coordination and other details;
(vii) structural design, including plans and sections;
(viii) mechanical and electrical systems, including plant layouts and functionality, and including integration of mechanical and electrical systems into Existing Facilities;
(ix) civil engineering design, including grading and site servicing;
(x) site landscape design, including preservation and protection of existing features;
(xi) information/communication technology, including integration of information/communication technology into the Existing Facilities;
(xii) security systems (interior and exterior), including integration of security systems into the Existing Facilities;
(xiii) audio visual systems, including the integration of audio visual systems into the Existing Facilities;
(xiv) sustainable design LEED features, including a dedicated LEED workshop;
(xv) telecommunications systems, including integration of telecommunications systems into the Existing Facilities;
(xvi) future expansion and adaptability features; and
(xvii) facilities management, lifecycle and energy efficiency considerations.
(c) Prior to the 100% Design Development Submittals, the Parties will hold Design Review Meetings and/or Design Workshops (as required by the CTCCollege) with respect to the following matters and any other Design Review Meetings and Design Workshops required by Project Co or the CTCCollege, each acting reasonably:
(i) all items listed in Section 11.3(b) and all items listed in Sections 1 1.0, 2.0 and 2 of 3.0 Appendix A of Schedule 10 – Review Procedure, as required;
(ii) site plan (traffic, parking, access, landscaping, site furniture, stormwater management, services, grading)physical mock-ups for the College Design Team and user review;
(iii) part plan layoutsinterior elevations;
(iv) vertical and horizontal circulation diagramsdoor/hardware functionality;
(v) elevator configurations;
(vi) materials management strategies;
(vii) exterior elevations including exterior finishes;
(viii) room layouts;
(ix) millwork/modular systems furniture including interior elevations;
(x) Equipment coordination;
(xi) information and communication technology;
(xii) utilities and plant layouts and functionality;
(xiii) interior finishes and ceiling plans;
(xiv) door/hardware/security functionality;
(xv) art and artefacts; and

(cd) Prior to the 50%, 75% and 100% Construction Documents Submittals, the Parties will hold Design Review Meetings and/or Design Workshops (as required by the CTCCollege) with respect to the following matters and any other Design Review Meetings and/or Design Workshops required by Project Co or the CTCCollege, each acting reasonably:
(i) millwork details;
(ii) physical Product samples for the CTC Design Team and user review;
(iii) office area layout details;
(iviii) Equipment and Existing Equipment FF&E coordination details;
(viv) signage and wayfinding;
(viv) detailed engineering system solutions; and
(viivi) facilities management, building durability lifecycle and energy efficiency considerations.
(de) The purpose of the Design Review Meetings and Design Workshops is to facilitate the incorporation of the CTC College Design Team and user input, involvement and feedback into the Design Data prior to submission of such Design Data in accordance with Schedule 10 - Review Procedure.

(A) one Design Workshop for each user group prior to submitting the 50% Design Development Submittals;
(B) two Design Workshops for each user group prior to submitting the 100% Design Development Submittals;
(C) one Design Workshop for each user group prior to submitting the 50% Construction Document Submittals; and
(D) two Design Workshop for each user group prior to submitting the 100% Construction Document Submittals;
(iv) Project Co shall circulate to the CTC Representative an agenda for each of the Design Review Meetings and each of the Design Workshops no later than 10 Business Days prior to the relevant Design Review Meeting and/or Design Workshop;
(v) Project Co shall circulate to the CTC Representative the information to be shared with the user groups no later than 5 Business Days prior to the relevant Design Workshop;
