Designated Manager. 10.1 The Provider shall appoint a Designated Manager (or central service manager to act in this role or, if necessary, a branch supervisor as an “authorised deputy”) who shall carry overall responsibility for day to day Service performance on behalf of the Provider. 10.2 The Provider shall confirm in writing to the Council, the identity, address and telephone numbers of the person appointed as Designated Manager and of any subsequent appointment and of any authorised deputy. 10.3 Any notice, information, instruction or other communication given or made to the Designated Manager shall be deemed to have been made to the Provider

Designated Manager will be free from interference, interruption, or disturbance by Franchisee in all matters relating to management and day-to-day operation of the Restaurant. Such authority of the Designated Manager will include, but is not limited to, operations, employment, advertising, accounting, banking, procurement and all other activities necessary for and incidental to the operation of the Restaurant. All communications from Franchisee about the operation of the Restaurant will be directed to the Senior Vice President of Operations for LongHorn Steakhouse, Kansas City Division. (B) Notwithstanding the foregoing, on an ongoing basis, Designated Manager will keep Franchisee reasonably informed of the operation of the Restaurant, and will provide it with the ability to access remotely, via the internet, Designated Manager’s accounting software system, so that Franchisee can review Gross Sales, customer count, product mix, and other financial information about the performance of the Restaurant that the Parties agree upon at any time. Designated Manager. You shall designate and retain an individual to serve as your Designated Manager. The Designated Manager as of the date of this Agreement is identified in Attachment C to this Agreement.   • Manager 5.1. Rules relating to the rights, duties and responsibilities of the Managers shall be governed by the Act. Such provisions are hereinafter incorporated into this Agreement by reference. Without limiting the generality of the foregoing, the Manager shall have the powers set forth in Paragraph 5.3 below.

  • Investment Manager The Trustees may, at any time and from time to time, contract for exclusive or nonexclusive advisory, management and, if applicable, administrative services for the Trust or for any Portfolio with any Person; and any such contract may contain such other terms as the Trustees may determine, including without limitation, authority for the Investment Manager to determine from time to time without prior consultation with the Trustees what investments shall be purchased, held, sold or exchanged and what portion, if any, of the assets of the Trust shall be held uninvested and to make changes in the Trust’s investments, and such other responsibilities as may specifically be delegated to such Person.   • Joint Union/Management Committee It shall be appropriate for either the Union or the University to request that a Joint Union/Management committee be convened, with Environmental Health and Safety as a participating member, to discuss health and safety concerns and to explore options for addressing those concerns through appropriate training or other approaches.
