Common use of Determination of Reduction Clause in Contracts

Determination of Reduction. The amount of the reduction in compensation shall be determined by an accounting firm retained by Sun (the “Accounting Firm”) using such formulas as the Accounting Firm deems appropriate. No compensation to ▇▇. ▇▇▇▇▇▇ shall be reduced pursuant to the provisions of this Section 6 if the Accounting Firm determines that the payments to ▇▇. ▇▇▇▇▇▇ are not subject to an Excise Tax.
