Developer Conditions to Close of Escrow. The following are conditions precedent to Developer’s obligation to close Escrow for the conveyance of real property from the Agency to Developer, to the extent not expressly waived by Developer by notice to the Agency: (a) The Agency shall have performed all obligations under this DDA required to be performed by the Agency on or before the date for close of Escrow for such property and that affect the development of the applicable property; and (b) The Agency shall not be in Material Breach.
