Developer Submittals Sample Clauses

Developer Submittals. District acknowledges that Developer has made significant submittals in furtherance of and as necessary for the CEQA review and EIR process and Developer acknowledges and agrees that additional extensive submittals will be required in order to further refine the components of the Proposed Development throughout the CEQA review and EIR process and to evaluate the financial and market feasibility of the Proposed Development for purposes of attempting to come to terms on a Definitive Agreement. In connection with the requisite submittals, ▇▇▇▇▇▇▇▇▇ agrees as follows:
Developer Submittals. Promptly upon ▇▇▇▇▇▇▇▇▇’s receipt of a notification of an award of any of the financing described in the Project Budget, Developer shall submit to the City Manager a copy of such award or evidence of such award. Within five (5) days after the Effective Date, Developer shall provide to City a copy of Developer’s most recently prepared Annual Financial Statement, and a copy of Developer’s most recent internally prepared, unaudited financial statement, which shall include a balance sheet, income statement, statement of retained earnings, statement of cash flows, and footnotes thereto, prepared in accordance with generally accepted accounting principles consistently applied.‌
Developer Submittals. Promptly upon Developer's receipt of a notification of an award of any of the financing described in the Project Budget, Developer shall submit to the Community Development Director a copy of such award or evidence of such award.

  • Review Scope The parties confirm that the Asset Representations Review is not responsible for (a) reviewing the Receivables for compliance with the representations and warranties under the Transaction Documents, except as described in this Agreement or (b) determining whether noncompliance with the representations and warranties constitutes a breach of the Eligibility Representations. For the avoidance of doubt, the parties confirm that the review is not designed to determine why an Obligor is delinquent or the creditworthiness of the Obligor, either at the time of any Asset Review or at the time of origination of the related Receivable. Further, the Asset Review is not designed to establish cause, materiality or recourse for any Test Fail (as defined in Section 3.05).

  • SUPPLIER PUBLICATIONS Any marketing materials in relation to this Framework Agreement that that Supplier produces must comply in all respects with the Branding Guidance. The Supplier will periodically update and revise such marketing materials.

  • Protocols Each party hereby agrees that the inclusion of additional protocols may be required to make this Agreement specific. All such protocols shall be negotiated, determined and agreed upon by both parties hereto.
