Development Coordination. The Recipient shall keep ADB informed of discussions with other multilateral, bilateral and national aid agencies that may have implications for the implementation of the Project. The Recipient shall provide ADB with an opportunity to comment on any resulting policy reform and/or investment proposals, and shall take into account ADB’s views before finalizing and implementing any such proposals.

Development Coordination. In preparing the program, ADB closely coordinated with the development partners involved in Ulaanbaatar’s urban sector, such as the European Investment Bank, GIZ, Japan International Cooperation Agency, UN-HABITAT, United States Millennium Challenge Account and the World Bank. Development Coordination. (i) Progenics shall conduct such Development tasks as Salix may request it to perform as part of the Development of Products hereunder, subject to such reasonable compensation and other terms as the Parties may agree. (iii) Each Party shall use, and shall cause its Affiliates and, in the case of Progenics, subject to the provisions of the Ono Agreement as they exist on the Effective Date or as amended in accordance with the provisions of this Agreement, licensees and Sublicensees (other than the other Party) to use, reasonable efforts consistent with those prevailing in the pharmaceutical industry to conduct all clinical trials, non-clinical safety studies and all other Development activities relating to the Compound or Products in such a manner as not to affect adversely the regulatory and commercial potential of Products.

Development Coordination. The Parties, through their designated project liaisons hereunder (each, a “Project Liaison”) will coordinate regular interactions between their respective project teams for the Development of Licensed Products pursuant to the Development Plan. Each Project Liaison shall be primarily responsible for facilitating the flow of information and otherwise promoting communications and collaboration within and among the JDC and JCC, between the Parties and internally within the Parties. Each Project Liaison will be responsible for: (a) facilitating coordination among the various functional representatives of his or her appointing Party; (b) providing single-point communication for seeking consensus both internally within the respective Party’s organization and together regarding key strategy and Development Plan issues, as appropriate; and (c) raising disputes with, and facilitating the resolution of disputes by, the JDC or JCC, as appropriate, in a timely manner.
