Development Hardware Clause Samples

The Development Hardware clause defines the terms under which hardware is provided, used, or managed during the development phase of a project. Typically, it outlines the responsibilities for supplying, maintaining, and returning hardware such as computers, servers, or specialized devices necessary for development work. This clause ensures that both parties understand who owns the hardware, who is liable for its condition, and what happens to the equipment at the end of the project, thereby preventing disputes over hardware use and ownership.
Development Hardware. During the Term, you may order a reasonable quantity of Development Hardware, at the prices set forth on the then-current Development Hardware Price List. All orders are subject to acceptance, and will be governed by the terms of Exhibit C, except that the provisions of this Agreement that explicitly reference Development Hardware will take precedence over any contrary or additional provisions of Exhibit C related to the same subject matter.

All orders are subject to acceptance, and will be governed by the then-current terms and conditions of sale of Atheros or Atheros Technology Ltd., as applicable, except that the provisions of this Agreement that explicitly reference Development Hardware will take precedence over any contrary or additional provisions of such terms and conditions related to the same subject matter, and we assume no intellectual property indemnification or defense obligations with respect to Development Hardware.
Development Hardware. Based on the mutual agreement of the parties, using Nortel’s standard equipment loan terms and conditions, Nortel agrees to i) provide a reasonable amount of [**] hardware or ii.) pay to Airvana the cost of such hardware, which cost the parties will agree upon in advance. A copy of Nortel’s equipment loan agreement is attached to and incorporated in this Amendment No. 10 as Attachment 2.

Related to Development Hardware

  • Manufacturing Services Jabil will manufacture the Product in accordance with the Specifications and any applicable Build Schedules. Jabil will reply to each proposed Build Schedule that is submitted in accordance with the terms of this Agreement by notifying Company of its acceptance or rejection within three (3) business days of receipt of any proposed Build Schedule. In the event of Jabil’s rejection of a proposed Build Schedule, Jabil’s notice of rejection will specify the basis for such rejection. When requested by Company, and subject to appropriate fee and cost adjustments, Jabil will provide Additional Services for existing or future Product manufactured by Jabil. Company shall be solely responsible for the sufficiency and adequacy of the Specifications [***].

  • Manufacturing (a) The Supplier shall without limitation be responsible, at no additional cost to the Purchaser, for: sourcing and procuring all raw materials for the Products; obtaining all necessary approvals, permits and licenses for the manufacturing of the Products; providing sufficient qualified staff and workers to perform the obligations under this Purchase Agreement; implementing and maintaining effective inventory and production control procedures with respect to the Products; and handling other matters as reasonably requested by the Purchaser from time to time. (b) The Supplier shall not change any process, material, component, packaging or manufacturing location without the Purchaser’s express prior written approval.

  • Manufacture 2.1. The LED(s) on the LED module shall be equipped with suitable fixation elements. 2.2. The fixation elements shall be strong and firmly secured to the LED(s) and the LED module.

  • Development Work The Support Standards do not include development work either (i) on software not licensed from CentralSquare or (ii) development work for enhancements or features that are outside the documented functionality of the Solutions, except such work as may be specifically purchased and outlined in Exhibit 1. CentralSquare retains all Intellectual Property Rights in development work performed and Customer may request consulting and development work from CentralSquare as a separate billable service.
