Development Obligations. i. The Licensee shall develop the Project as per the Development Milestones specified in Article 2.8 and approved designs and drawings, in accordance with the timelines set forth in the Agreement. ii. The Licensee shall develop the Project as per the building laws / by-laws specified by the Competent Authorities and the ▇▇▇▇ Raipur ▇▇▇▇ Nagar Vikas Yojana, 2031. The Licensee shall strictly adhere to construction activity as per the Development Control Norms. iii. The Licensee shall obtain all Applicable Permits for Development of Education Facility and other project facilities. iv. The Licensee shall adhere to the safe construction parameters (as laid down under the Applicable Laws including labour laws and Good Industry Practice) and complete the construction work of the Project, on or before the Scheduled Project Completion Date or such extended date as may be approved by the Authority in writing. v. The Licensee may undertake construction work and services by itself or through Contractor(s) possessing requisite technical, financial and managerial expertise / capability and experience in the relevant field, but in any case the Licensee shall at all times remain solely responsible and liable for its overall liabilities and obligations under the contract, overall supervision, monitoring and control of the activities of all the Contractors, sub-contractors, their employees and agents engaged under respective Contracts /Agreements of Licensee and Service Provider and as may be necessary and the work of the Contractor shall be deemed to be work of the Licensee. vi. The Licensee shall undertake all necessary activities such as developing, financing, constructing, operating and maintaining the Project and the Licensed Land as per Good Industry Practice. vii. The Licensee shall procure and install necessary equipment, plant, machinery, apparatus, services and its supporting infrastructure required for the development of the Project. It shall keep all the equipment in Project facility adequately insured and shall pay regular and timely premium, at its own cost during the term of this Agreement. viii. In terms with the provisions of this Agreement, the Licensee shall make timely payment to NRANVP, wherever required and applicable. ix. The Licensee shall provide all machinery, plant and equipment necessary to complete the construction and development of the Project as envisaged under this Agreement. x. The Licensee shall follow Applicable Laws and rules of Government of Chhattisgarh and Government of India inclusive of water bodies and other environmental aspects. xi. The Licensee shall carry out solid waste management and disposal work including the treatment of waste generated within the Licensed Land as per statutory norms and guidelines and the disposal of the waste shall be at designated location only. xii. The Licensee shall not discharge any kind of solid, liquid and gaseous effluent or waste on the Licensed Land and into the aquatic environment and shall follow zero discharge concept. xiii. The Licensee shall obtain temporary electrical connection during the construction period as well as permanent connection on completion of project from Chhattisgarh State Power Distribution Company Limited at its own cost, however, NRANVP shall only assist in obtaining the electricity connection. xiv. Pay taxes and duties as per applicable laws. xv. During the License period, Licensee shall protect the Site from any and all occupations, encroachments or Encumbrances, and shall not place or create nor permit any Contractor or other person claiming through or under the Licensee to place or create any Encumbrance or security interest over all or any part of the Site or the Project Assets, or on any rights of the Licensee therein or under this Agreement, save and except as otherwise expressly set forth in this Agreement

The Licensee Lessee may undertake construction work and services by itself or through Contractor(s) possessing requisite technical, financial and managerial expertise / capability and experience in the relevant field, but in any case the Licensee Lessee shall at all times remain solely responsible and liable for its overall liabilities and obligations under the contract, overall supervision, monitoring and control of the activities of all the Contractors, sub-contractors, their employees and agents engaged under respective Contracts /Agreements of Licensee Lessee and Service Provider and as may be necessary and the work of the Contractor shall be deemed to be work of the LicenseeLessee. vi. f. The Licensee Lessee may undertake construction work and services by itself or through Contractor(s) possessing requisite technical, financial and managerial expertise / capability and experience in the relevant field, but in any case the Licensee Lessee shall at all times remain solely responsible and liable for its overall liabilities and obligations under the contract, overall supervision, monitoring and control of the activities of all the Contractors, sub-contractors, their employees and agents engaged under respective Contracts /Agreements of Licensee and Service Provider and Project Agreements as may be necessary and the work of the Contractor shall be deemed to be work of the LicenseeLessee. vi. f. The Lessee shall undertake periodical inspection of the works being undertaken in relation to the development of Corporate office and for the purposes of determining whether the construction work is being undertaken as per building laws / by-laws, development control rules, relevant provisions of Indian Standards, National Building Code, etc., the Lessee shall carry out all necessary and periodical tests. The Licensee Lessee shall maintain proper record of such tests and shall ensure to take remedial measures to cure the defects or deficiencies, if any, indicated by the test results. h. The Lessee shall procure and install necessary equipment, plant, machinery, apparatus, services and its supporting infrastructure required for the development of the ProjectCorporate office. It shall keep all the equipment in Project facility Corporate office adequately insured and shall pay regular and timely premium, at its own cost during the term of this AgreementTerm. viii. i. In terms with the provisions of this Agreement, the Licensee Lessee shall make timely payment to NRANVP, wherever required and applicable. ix. j. The Licensee Lessee shall provide all machinery, plant and equipment necessary to complete the construction and development of the Project Corporate office as envisaged under this Agreement. x. k. The Licensee Lessee shall be required to mandatorily comply with all the provisions as laid down in the Urban Design Master Plan or any such documents specified by NRANVP. In case of any deviations, the Lessee shall be required to get prior written approval from NRANVP. l. The Lessee shall follow Applicable Laws and rules of Government of Chhattisgarh and Government of India inclusive of water bodies and other environmental aspects. xi. m. The Licensee Lessee shall adhere to the safe construction parameters (as laid down under the Applicable Laws including labour laws and Good Industry Practice) and complete the construction work of the Project, on or works before the Scheduled Project Completion Date or such extended date as may be approved by the Authority in writingAuthority. v. e. The Licensee Lessee may undertake construction work works and services by itself or through Contractor(s) possessing requisite technical, financial and managerial expertise / capability and experience in the relevant field, capability; but in any case the Licensee Lessee shall at all times and will remain solely responsible and liable for its i ts overall liabilities and obligations under the contract, overall supervision, monitoring and control of the activities of all the Contractors, sub-contractors, their employees and agents engaged under respective Contracts /Agreements of Licensee and Service Provider and “Project Agreements” as may be necessary and the work of the Contractor shall be deemed to be work of the Licenseenecessary. vi. The Licensee f. The Lessee shall procure and install specified and necessary equipment, plant, machinery, apparatus, services and its supporting infrastructure required for towards the development of the ProjectIndustrial Unit. It shall keep all the necessary Industrial Unit equipment in Project facility adequately insured and shall pay regular and timely premium, at its own cost during the term of this Agreementcost. viii. i. In terms with the provisions of this Agreement, the Licensee Lessee shall make timely payment to NRANVPthe Authority, wherever required and applicable. ix. j. The Licensee Lessee shall implement and make operational the Industrial Unit as per the Development Milestones given in Article 2.8. k. The Lessee shall provide all machinery, plant and equipment necessary to complete the construction and development Works. All Lessee's Equipment shall, when brought on to the Leased Land, be deemed to be exclusively intended for the execution of the Project as envisaged under this Agreementworks. x. l. The Licensee Lessee shall maintain an adequate inventory of consumable and spare parts, and undertake periodic and preventive maintenance as required for the relevant equipment. The Lessee shall ensure continuous workflow as required under the program. Breakdown of machinery or equipment shall not be a valid reason for any delay, extension in the Development Period or addition of cost, towards the Industrial Unit. m. The Lessee shall replace the broken machinery and equipment immediately after its occurrence and shall bear the entire cost. n. The Lessee shall be required to mandatorily comply with all the provisions as laid down in the Urban Design Master Plan or any such documents specified by NRANVP. In case of any deviations, the Lessee shall be required to get prior written approval from NRANVP. o. During the License period, Licensee shall protect the Site from any and all occupations, encroachments or Encumbrances, and shall not place or create nor permit any Contractor or other person claiming through or under the Licensee to place or create any Encumbrance or security interest over all or any part of the Site or the Project Assets, or on any rights of the Licensee therein or under this Agreement, save and except as otherwise expressly set forth in this Agreement

The Licensee Lessee shall develop the Project Industrial Unit as per the building laws / by-laws byelaws specified by the Competent Authorities local authorities and the ▇▇▇▇ Raipur ▇▇▇▇ Nagar Vikas Yojana, 2031. The Licensee Development Control Norms related to the Project are specified in Schedule 5, and Lessee shall strictly adhere to its construction activity as per the Development Control Normsthese norms. iii. c. The Licensee Lessee shall obtain all Applicable Permits necessary approvals, permissions and sanctions including diversion of the land for Development setting up of Education Facility Industrial Unit and other project allied infrastructure and facilities. iv. d. The Licensee Lessee shall adhere to the safe construction parameters (as laid down under the Applicable Laws including labour laws and Good Industry Practice) and complete the construction work of the Project, on or works before the Scheduled Project Completion Date or such extended date as may be approved by the Authority in writingAuthority. v. e. The Licensee Lessee may undertake construction work works and services by itself or through Contractor(s) possessing requisite technical, financial and managerial expertise / capability and experience in the relevant field, capability; but in any case the Licensee Lessee shall at all times and will remain solely responsible and liable for its overall liabilities and obligations under the contract, overall supervision, monitoring and control of the activities of all the Contractors, sub-contractors, their employees and agents engaged under respective Contracts /Agreements of Licensee and Service Provider and “Project Agreements” as may be necessary and the work of the Contractor shall be deemed to be work of the Licenseenecessary. vi. The Licensee f. For this purpose, Lessee shall undertake all necessary activities such as developing, financing, constructing, operating and maintaining the Project Industrial Unit and the Licensed Land Leased Land, in accordance with the provisions of this Agreement and as per Good Industry Practice. viig. For the purposes of determining whether the construction works are being undertaken as per building laws / bye-laws, development controls, relevant provisions of Indian Standards, National Building Code, etc., the Lessee shall with due diligence carry out all necessary and periodical tests. The Licensee Lessee shall maintain proper record of such tests and the remedial measures taken to cure the defects or deficiencies, if any, indicated by the Test results. h. The Lessee shall procure and install specified and necessary equipment, plant, machinery, apparatus, services and its supporting infrastructure required for towards the development of the ProjectIndustrial Unit. It shall keep all the necessary Industrial Unit equipment in Project facility adequately insured and shall pay regular and timely premium, at its own cost during the term of this Agreementcost. viii. i. In terms with the provisions of this Agreement, the Licensee Lessee shall make timely payment to NRANVPthe Authority, wherever required and applicable. ix. j. The Licensee Lessee shall implement and make operational the Industrial Unit as per the Development Milestones given in Article 2.8. k. The Lessee shall provide all machinery, plant and equipment necessary to complete the construction and development Works. All Lessee's Equipment shall, when brought on to the Leased Land, be deemed to be exclusively intended for the execution of the Project as envisaged under this Agreementworks. x. l. The Licensee Lessee shall maintain an adequate inventory of consumable and spare parts, and undertake periodic and preventive maintenance as required for the relevant equipment. The Lessee shall ensure continuous workflow as required under the program. Breakdown of machinery or equipment shall not be a valid reason for any delay, extension in the Development Period or addition of cost, towards the Industrial Unit. m. The Lessee shall replace the broken machinery and equipment immediately after its occurrence and shall bear the entire cost. n. The Lessee shall be required to mandatorily comply with all the provisions as laid down in the Urban Design Master Plan or any such documents specified by NRANVP. In case of any deviations, the Lessee shall be required to get prior written approval from NRANVP. o. The Lessee shall follow Applicable Laws applicable laws and rules of Government of Chhattisgarh and Government of India inclusive of water bodies and other environmental aspects. xi. p. The Licensee Lessee shall carry out solid waste management Solid Waste Management and disposal work including the treatment of waste generated within the Licensed Leased Land as per statutory norms and guidelines and guidelines; the disposal of the waste shall be at designated location only. xii. q. The Licensee Lessee shall not discharge any kind of solid, liquid and gaseous effluent or waste on the Licensed Land and into the aquatic environment and shall follow zero discharge concept. xiii. r. The Licensee Lessee shall obtain temporary electrical connection during the construction period as well as permanent connection on completion of project Industrial Unit from Chhattisgarh State Power Distribution Company Limited at its own cost, Limited; however, NRANVP shall only assist in obtaining the electricity connection. xiv. Pay taxes and duties as per applicable lawss. The Lessee shall be prohibited to undertake activities which are mentioned in Schedule 7. xv. The Licensee Lessee shall carry out solid waste management and disposal work including the treatment of waste generated within the Licensed Leased Land as per statutory norms and guidelines and the disposal of the waste shall be at designated location only. xii. o. The Licensee Lessee shall not discharge any kind of solid, liquid and gaseous effluent or waste on the Licensed Land and into the aquatic environment and shall follow zero discharge concept. xiii. r. The Licensee Lessee shall obtain temporary electrical connection during the construction period as well as permanent connection on completion of project Industrial Unit from Chhattisgarh State Power Distribution Company Limited at its own cost, Limited; however, NRANVP shall only assist in obtaining the electricity connection. xiv. Pay taxes and duties as per applicable lawss. The Lessee shall be prohibited to undertake activities which are mentioned in Schedule 7. xv. During the License period, Licensee shall protect the Site from any and all occupations, encroachments or Encumbrances, and shall not place or create nor permit any Contractor or other person claiming through or under the Licensee to place or create any Encumbrance or security interest over all or any part of the Site or the Project Assets, or on any rights of the Licensee therein or under this Agreement, save and except as otherwise expressly set forth in this Agreement

Development Obligations. i. The Licensee shall develop the Project as per the Development Milestones specified in Article 2.8 and approved designs and drawings, in accordance with the timelines set forth in the Agreement. ii. The Licensee shall develop the Project as per the building laws / by-laws specified by the Competent Authorities and the ▇▇▇▇ Raipur ▇▇▇▇ Nagar Vikas Yojana, 2031. The Licensee shall strictly adhere to construction activity as per the Development Control Norms. iii. The Licensee shall obtain all Applicable Permits for Development of Education Commercial Facility and other project facilities. iv. The Licensee shall adhere to the safe construction parameters (as laid down under the Applicable Laws including labour laws and Good Industry Practice) and complete the construction work of the Project, on or before the Scheduled Project Completion Date or such extended date as may be approved by the Authority in writing. v. The Licensee may undertake construction work and services by itself or through Contractor(s) possessing requisite technical, financial and managerial expertise / expertise/ capability and experience in the relevant field, but in any case the Licensee shall at all times remain solely responsible and liable for its overall liabilities and obligations under the contract, overall supervision, monitoring and control of the activities of all the Contractors, sub-contractors, their employees and agents engaged under respective Contracts /Agreements of Licensee and Service Provider and as may be necessary and the work of the Contractor shall be deemed to be work of the Licensee. vi. The Licensee shall undertake all necessary activities such as developing, financing, constructing, operating and maintaining the Project and the Licensed Land as per Good Industry Practice. vii. The Licensee shall procure and install necessary equipment, plant, machinery, apparatus, services and its supporting infrastructure required for the development of the Project. It shall keep all the equipment in Project facility adequately insured and shall pay regular and timely premium, at its own cost during the term of this Agreement. viii. In terms with the provisions of this Agreement, the Licensee shall make timely payment to NRANVP, wherever required and applicable. ix. The Licensee shall provide all machinery, plant and equipment necessary to complete the construction and development of the Project as envisaged under this Agreement. x. The Licensee shall follow Applicable Laws and rules of Government of Chhattisgarh and Government of India inclusive of water bodies and other environmental aspects. xi.
