Development of Licensed Products. As of and after the Effective Date Celgene will assume sole responsibility for, and control of, Developing, Manufacturing and Commercializing Licensed Products and Companion Diagnostics in the Field in the Territory, and, except as otherwise set forth in this Agreement, will have sole responsibility to pay for all costs and expenses arising from the Development, Manufacture and Commercialization of Licensed Products and Companion Diagnostics in the Field in the Territory.
