Digital Certificate. Any Digital Certificate generated for logging into the application for utilizing the Services should be issued by or verified by the qualified certification organization licensed by the Ministry of Post and Telecommunications pursuant to the Law on Electronic Transactions dated 29 November 2005 and its implementing regulations. We shall not be construed as carrying on, or operating, as a certification organization under the Law on Electronic Transactions. We are not liable to any Person for any representations or misrepresentation by any User in this regard or if any Digital Certificate is misconceived by anyone as a certificate issued by such a certificate organization.
Digital Certificate. (a) Vendor’s access to the secured portion of the Site (if such access is granted by Lowe’s) and to any Information shall be through the use of one or more digital certificates issued to Vendor by Lowe’s (collectively, the “Certificate”). The Certificate will be deemed accepted by Vendor upon its receipt unless Vendor, in accordance with the notice provisions of this Agreement, notifies Lowe’s of any inaccuracy or defect in the Certificate within three (3) Business Days thereafter. For purposes of this Agreement, Business Day means any of Monday, Tuesday, Wednesday, Thursday or Friday, excluding all national holidays in the United States observed by the Federal Reserve Bank. (b) By accepting the Certificate, Vendor represents, warrants, agrees and covenants that during the Term of this Agreement: (i) each digital signature created using the private key corresponding to the public key listed in the Certificate is the digital signature of the Vendor; (ii) Vendor shall retain control of its private key and take all necessary precautions to prevent its loss, disclosure, modification or unauthorized use; (iii) Vendor, in accordance with the notice provisions of this Agreement, shall immediately notify Lowe’s if the private key is lost, disclosed, modified or used without authorization; (iv) Vendor shall protect the secrecy of the private key associated with the Certificate through the use of encryption software or hardware tokens as reasonably specified by Lowe’s from time-to-time; (v) all information provided by Vendor and contained in the Certificate is true; and (vi) the Certificate will be used solely for purposes consistent with this Agreement and only in accordance with all conditions of use that may be established by Lowe’s from time-to-time. (c) Lowe’s may suspend or revoke the Certificate at any time and for any reason. During suspension, or permanently upon revocation, the Certificate’s operational period shall immediately be considered terminated; provided, however, that any such suspension or revocation shall not affect any underlying contractual obligations created or communicated under this Agreement. In the event of any such suspension or revocation, the private key corresponding to the public key contained in the Certificate shall be safeguarded by Vendor throughout the period of suspension and destroyed upon revocation.   • Non-Book Entry Certificate to Global Certificate If a holder of a Non-Book Entry Certificate that is a Private Certificate (other than any Risk Retention Certificate during the RR Interest Transfer Restriction Period, a Class S Certificate or a Class R Certificate) wishes at any time to exchange its interest in such Non-Book Entry Certificate for an interest in a Global Certificate of the same Class, or to transfer all or part of such Non-Book Entry Certificate to an institution that is entitled to take delivery thereof in the form of an interest in a Global Certificate, such holder may, subject to the rules and procedures of Euroclear or Clearstream, if applicable, and the Depository, cause the exchange of all or part of such Non-Book Entry Certificate for an equivalent beneficial interest in the appropriate Global Certificate of the same Class. Upon receipt by the Certificate Registrar, as registrar, at its office designated in Section 5.11 of this Agreement, of (1) such Non-Book Entry Certificate, duly endorsed as provided herein, (2) instructions from such holder directing the Certificate Registrar, as registrar, to credit, or cause to be credited, a beneficial interest in the applicable Global Certificate equal to the portion of the Certificate Balance of the Non-Book Entry Certificate to be exchanged, such instructions to contain information regarding the participant account with the Depository to be credited with such increase and (3) a certificate in the form of Exhibit I to this Agreement (in the event that the applicable Global Certificate is the Temporary Regulation S Global Certificate), in the form of Exhibit J to this Agreement (in the event that the applicable Global Certificate is the Regulation S Global Certificate) or in the form of Exhibit K to this Agreement (in the event that the applicable Global Certificate is the Rule 144A Global Certificate), then the Certificate Registrar, as registrar, shall cancel, or cause to be canceled, all or part of such Non-Book Entry Certificate, and shall, if applicable, direct the Certificate Administrator to execute, authenticate and deliver to the transferor a new Non-Book Entry Certificate equal to the aggregate Certificate Balance of the portion retained by such transferor and shall instruct the Depository to increase, or cause to be increased, such Global Certificate by the aggregate Certificate Balance of the portion of the Non-Book Entry Certificate to be exchanged and to credit, or cause to be credited, to the account of the institution specified in such instructions a beneficial interest in the applicable Global Certificate equal to the Certificate Balance of the portion of the Non-Book Entry Certificate so canceled.

  • Provisional Certificate 12.2.1 Subject to the provisions of Clause 12.2.5, upon completion of all Works forming part of the Project Highway, save and except the Works for which Time Extension has been granted under Clause 10.5, the Authority’s Engineer shall, at the request of the Contractor, issue a provisional certificate of completion substantially in the form set forth in Schedule-L (the “Provisional Certificate”) if the Tests for and in respect of the completed Works are successful. The Provisional Certificate shall have appended thereto a list of outstanding items of work (the “Punch List”) that need to be completed in accordance with the provisions of this Agreement. The Contractor undertakes to complete the minor outstanding items of works in respect of those Sections of the Project Highway for which the Provisional Certificate has been issued, within a period of 30 (thirty) days of the date of Provisional Certificate, and those parts of the Works in respect of which Time Extension has been granted, within the extended period thereof. For the avoidance of doubt, the Parties agree that the Punch List shall include all Works for which Time Extension has been granted and shall also include any minor outstanding items of work forming part of the completed Sections if such works do not materially affect the use of the completed Sections for their intended purpose. The Parties further agree that Provisional Certificate shall not be issued if the completed Works can not be safely and reliably placed in service of the Users thereof. 12.2.2 Upon issue of Provisional Certificate, the provisions of Articles 14 and 17 shall apply to the completed parts of the Project Highway and the property and ownership of all such completed Works shall vest in the Authority. 12.2.3 If the Authority’s Engineer determines that the Project Highway or any completed part thereof does not conform to the provisions of this Agreement and cannot be safely and reliably placed in operation, it shall forthwith make a report in this behalf and send copies thereof to the Authority and the Contractor and withhold issuance of the Provisional Certificate until the Defects or deficiencies are rectified by the Contractor and Tests are successful in accordance with this Article 12. 12.2.4 Notwithstanding anything to the contrary contained in Clause 12.2.3, the Authority may, at any time after receiving a report from the Authority’s Engineer under that ▇▇▇▇▇▇, direct the Authority’s Engineer to issue a Provisional Certificate under Clause 12.2.1 and such direction shall be complied forthwith. 12.2.5 No Provisional Certificate shall be issued under the provisions of this Clause 12.2 until the Contractor has submitted valid claims for payment of at least 80% (eighty per cent) of the amount arrived at after reducing the lump sum price specified in Clause 19.1.1 by the amount attributable to works which have been withdrawn under the provisions of Clause 8.3.3. For the avoidance of doubt and by way of illustration, the Parties agree that if the Contract Price specified in Clause 19.1.1 is Rs. 105 cr. (Rs. one hundred and five crore) and the works withdrawn under Clause 8.3.3 have a value of Rs. 5 cr. (Rs. five crore), a Provisional Certificate shall not be issued until valid claims for payment of an amount of Rs. 80 cr. (Rs. eighty crore) have been submitted by the Contractor in accordance with the provisions of this Agreement. It is further agreed that all price adjustments made in pursuance of Clause 19.10 shall not be reckoned for computation of the claims for payments referred to in this Clause 12.2.5.
