Common use of Directions to Collateral Agent Clause in Contracts

Directions to Collateral Agent. Except during the continuance of an Event of Default, the Trustee in directing the Collateral Agent to take or refrain from taking actions under the Security Documents may rely on an Officers' Certificate and Opinion of Counsel delivered to it by the Company to the effect that the action to be taken or not taken does not adversely affect the interests of the Securityholders or impair the security of the Securityholders in contravention of the provisions of the Security Documents or this Indenture.
