Common use of Directors of Acquiror Company at Closing Date Clause in Contracts

Directors of Acquiror Company at Closing Date. On the Closing Date, ▇▇▇▇ ▇▇▇, the current President and a member of the Acquiror Company Board, shall nominate each of ▇▇▇ ▇▇▇▇▇▇, ▇▇ ▇▇▇▇ and Kun (▇▇▇▇▇) Wei as a member of the Acquiror Company Board, ▇▇ ▇▇▇▇ will be nominated Chairman of the Acquiror Company Board, such nominations to be effective on the tenth day after mailing the Schedule 14(f) to the stockholders of record of the Acquiror Company (the “Effective Time”). On the Closing Date, ▇▇▇ ▇▇▇▇ and ▇▇▇▇▇ ▇▇▇, current directors of the Acquiror Company Board, shall tender their resignation as a director of the Acquiror Company to be effective at the Effective Time. ▇▇▇▇ ▇▇▇ shall remain a director of the Acquiror Company.
