Common use of Directors’ Resignations Clause in Contracts

Directors’ Resignations. If the ▇▇▇▇ ▇▇▇▇▇▇▇ Charter Proposal is not approved by the 80% Duke Approval at the Duke Shareholders Meeting, Duke shall have received resignations from certain members of its Board of Directors which are sufficient to permit the adoption of Exhibits G and H as the Charter and By-laws and the election as directors of the individuals set forth on Schedule E.
