DISASSOCIATION EVENT. Upon the occurrence of a Disassociation Event, the Company will not dissolve. Upon the occurrence of a Disassociation Event, the Members holding all of the remaining Membership Interests (the "Remaining Members") and/or, if applicable pursuant to Section 10.1.3, the Company, will purchase, and the Member whose actions or conduct resulted in the Disassociation Event ("Former Member") or such Former Member's legal representative will sell, the Former Member's Membership Interest ("Former Member's Interest") as provided in this Section 10.1.
