Common use of Discharge of Escrow Agent Clause in Contracts

Discharge of Escrow Agent. Upon delivery of all of the Escrowed Items pursuant to the terms of Section 8 above or pursuant to the Escrow Instructions, Escrow Agent shall thereafter be discharged from any further obligations hereunder. Escrow Agent is hereby authorized, in any and all events, to comply with and obey any and all judgments, orders and decrees of any court of competent jurisdiction which may be filed, entered or issued, and all final arbitration awards and, if he shall so comply or obey, he shall not be liable to any other person by reason of such compliance or obedience.

Discharge of Escrow Agent. Upon the delivery of all of the Escrowed Items Aggregate Indemnity Shares and Aggregate Cash Amount pursuant to the terms of Section 8 3 above or pursuant to a successor escrow agent, the Escrow Instructions, Escrow Agent shall thereafter be discharged from any further obligations hereunder. The Escrow Agent is hereby authorized, in any and all events, to comply with and obey any and all final judgments, orders and decrees of any court of competent jurisdiction which may be filed, entered or issued, and all final arbitration awards and, if he it shall so comply or obey, he it shall not be liable to any other person Person by reason of such compliance or obedience.

Upon delivery of all of the Escrowed Items Escrow Funds pursuant to the terms of Section 8 3 above or pursuant to a successor Escrow Agent, the Escrow Instructions, Escrow Agent shall thereafter be discharged from any further obligations hereunder. The Escrow Agent is hereby authorized, in any and all events, to comply with and obey any and all final judgments, orders and decrees of any court of competent jurisdiction which may be filed, entered or issued, and all final arbitration awards and, if he it shall so comply or obey, he it shall not be liable to any other person by reason of such compliance or obedience.

Discharge of Escrow Agent. Upon delivery disbursement of all of the Escrowed Items Deposit pursuant to the terms of Section 8 Sections 5 and 6 above or pursuant delivery thereof to the Escrow Instructionsa successor escrow agent in accordance with this Agreement, Escrow Agent shall thereafter be discharged from any further obligations hereunder, except pursuant to Section 8(b). With respect to the Adjustment Escrow Account and the Insurance Deductible Escrow Account, Escrow Agent is hereby authorized, in any and all events, to comply with and obey any and all judgments, orders and decrees of any court of competent jurisdiction which may be filed, entered or issued, and all final arbitration awards Orders and, if he it shall so comply or obey, he it shall not be liable to any other person or entity by reason of such compliance or obedience.
