Discharge of Liability on Notes; Defeasance Sample Clauses
The "Discharge of Liability on Notes; Defeasance" clause defines the conditions under which the issuer's obligations on certain notes are considered fully satisfied and legally released. Typically, this occurs when the issuer deposits sufficient funds or qualifying securities with a trustee to cover all future payments of principal and interest on the notes, effectively ensuring that noteholders will be paid as agreed. This mechanism allows the issuer to remove the notes from its balance sheet and end its ongoing responsibilities, providing financial flexibility and certainty for both the issuer and investors.
