Common use of Discharge Without Cause Clause in Contracts

Discharge Without Cause. At any time during the Term of Employment, Bank shall be entitled to terminate Executive's employment and this Agreement "without cause," by providing him with a written notice of termination. Any termination of this Agreement which is not for cause, as defined above in Section 4(c), or which does not result from the death or disability of Executive, as set forth in Sections 4(a) or 4(b) respectively, or a constructive discharge as set forth in Section 4(e), respectively, shall be deemed to be a termination without cause.

Any termination of this Agreement which is not for causeCause, as defined above in Section 4(c5(c), or which does not result from the death or disability of the Executive, as set forth in Sections 4(a5(a) or 4(b) respectively, or a constructive discharge as set forth in Section 4(e5(b), respectively, shall be deemed to be a termination without causeWithout Cause. In the event of a termination Without Cause, the Bank shall become obligated to pay the Executive the severance payment set forth in Section 4(b).
