DISCLAIMER OF DUTIES; INDEMNIFICATION Sample Clauses

The "Disclaimer of Duties; Indemnification" clause serves to limit or exclude certain obligations or responsibilities that one party might otherwise owe to another under the agreement, while also requiring one party to compensate the other for specific losses or claims. In practice, this clause may state that a party is not responsible for particular actions, omissions, or outcomes, and obligates the other party to cover costs, damages, or legal fees arising from specified events, such as third-party claims or breaches. Its core function is to allocate risk between the parties, protecting one party from liability and ensuring that any resulting losses are borne by the party best positioned to manage or prevent them.
