Disclaimer of Reliance on Other Representations and Warranties. The Purchaser acknowledges and agrees that, except for the Seller Representations and the representations and warranties set forth in any other Transaction Agreement (or any certificate delivered by any member of the Seller Group or any of their respective Representatives pursuant hereto or thereto) therewith, none of the Sellers nor any of their respective Subsidiaries, nor any of their respective Affiliates or Representatives, makes, or has made, any representation or warranty relating to itself or the Business or otherwise in connection with the Contemplated Transactions, and the Purchaser is not relying on any representation or warranty except for those expressly set forth in this Agreement. The Purchaser acknowledges that it has conducted, to its satisfaction, its own independent investigation of the condition, operations and business of the Business and the Acquired Assets, in making its determination to proceed with the Contemplated Transactions, the Purchaser has relied on the results of its own independent investigation.
