Common use of Disclosure of Certain Matters Clause in Contracts

Disclosure of Certain Matters. From the date hereof through the Closing Date, AAAC shall give TX China and the TX China Shareholders prompt written notice of any event or development that occurs that (a) had it existed or been known on the date hereof would have been required to be disclosed under this Agreement, (b) would cause any of the representations and warranties of AAAC contained herein to be inaccurate or otherwise misleading, (c) gives AAAC any reason to believe that any of the conditions set forth in Article 8 will not be satisfied, (d) is of a nature that is or may be materially adverse to the operations, prospects or condition (financial or otherwise) of AAAC, (e) would require any amendment or supplement to the Proxy Statement, or (f) information that becomes available through discussions with AAAC investors.
