Common use of Disclosures and Announcements Clause in Contracts

Disclosures and Announcements. Announcements concerning the transactions provided for in this Agreement by Buyer, Company or Seller shall be subject to the approval of the other parties in all essential respects, except that approval of the Seller or Company shall not be required as to any statements and other information which Buyer may submit to the Securities and Exchange Commission or Buyer’s stockholders or be required to make pursuant to any rule or regulation of the Securities and Exchange Commission or any stock exchange, or otherwise required by law.
