The Discontinued Project clause defines the procedures and consequences if a project is halted before completion. Typically, this clause outlines the conditions under which a project may be discontinued, such as mutual agreement, force majeure, or failure to meet key milestones, and specifies the responsibilities of each party regarding payments, return of materials, or transfer of work completed to date. Its core function is to provide a clear framework for winding down a project in an orderly manner, minimizing disputes and ensuring that both parties understand their rights and obligations if the project does not proceed as planned.
Discontinued Project. Work on the Project is discontinued or prohibited for 30 or more consecutive days or the Project is abandoned.
Discontinued Project. In circumstances where both Parties (through operation of the Steering Committee) decide to discontinue supporting a Project ("Discontinued Project"), the Parties will: (i) promptly wind down and stop any Research or Development Activities related to the Discontinued Project; (ii) make a determination on whether to continue prosecution and/or maintenance of any Alliance Patent Rights related to the Discontinued Project consistent with Section 4.7; (iii) document each Party's Investment with respect to the Discontinued Project [ *** ]; and (iv) make a determination of whether to outlicense or otherwise divest for value the Alliance Rights associated with the Discontinued Project to a Third Party. Only in the event the Parties jointly, out-license or otherwise divest for value, the Alliance Rights associated with the Discontinued Project or subsequently jointly commercialize a product or process arising from the Discontinued Project shall the Parties [ *** ] through the proceeds of such out-license or divestiture or through commercialization. If the Parties outlicense or otherwise divest for value the Alliance Rights associated with the Discontinued Project, any proceeds from such outlicense or divestiture (whether upfront payments, milestone payments or royalties) will [ *** ]. [ *** ], any additional proceeds from such outlicense or divestiture (whether upfront payments, milestone payments or royalties) will be split [ *** ] by the Parties. If the Parties jointly commercialize a product or process from such a Discontinued Project, the terms of Section 8.2 shall apply.

  • PROJECT WORK PLAN The Statement of Work is the formal document incorporated into the Grant. The Project Work Plan documents how the Grantee will achieve the performance measures outlined in the Grant. Changes to the Statement of Work require an amendment. Project Work Plans may be changed with written approval from DFPS and the Grantee.

  • Development Schedule The Project shall substantially comply with the specific timetables and triggers for action set forth in Article 5 of this Agreement. The parties acknowledge that, as provided in G.S. 160A-400.25(b), the failure to meet a commencement or completion date shall not, in and of itself, constitute a material breach of this Agreement pursuant to G.S. 160A-400.27 but must be judged based upon the totality of the circumstances.

  • Annual Work Plans and Budgets The Recipient shall furnish to the Association as soon as available, but in any case not later than September 1 of each year, the annual work plan and budget for the Project for each subsequent year of Project implementation, of such scope and detail as the Association shall have reasonably requested, except for the annual work plan and budget for the Project for the first year of Project implementation, which shall be furnished no later than one (1) month after the Effective Date.

  • Improvement Plan A detailed, written plan initiated by the evaluator. The teacher may provide input at the meeting to review the plan. Improvement plans are utilized when a teacher receives an Evaluation Rating of Ineffective or when an administrator utilizes discretion to place any teacher on an improvement plan at any time based on any individual deficiency in the evaluation system. The approved form for the Improvement Plan is attached to this agreement as Appendix A-9.

  • Development Work The Support Standards do not include development work either (i) on software not licensed from CentralSquare or (ii) development work for enhancements or features that are outside the documented functionality of the Solutions, except such work as may be specifically purchased and outlined in Exhibit 1. CentralSquare retains all Intellectual Property Rights in development work performed and Customer may request consulting and development work from CentralSquare as a separate billable service.
