Discussion Paper a) The University shall initiate a consultation process which will include issuing a discussion paper to those staff likely to be directly affected that describes the proposed workplace change, or options under consideration and the rationale for change. The discussion paper shall include all relevant details of the changes proposed, the effects the changes are likely to have on staff, timeframes for consultation and implementation where relevant and measures to avert or minimise any adverse effects on staff. b) The University shall provide the discussion paper to affected staff and the relevant union(s) at least ten (10) working days prior to a management initiated meeting to consult on the change proposals. Affected staff should be provided with reasonable opportunity to attend the meeting. Staff present at the meeting will have the opportunity to raise issues and have them identified and acknowledged.

Discussion Paper. 42.4.1 The Guild will issue documentation (the Discussion Paper) to employees likely to be directly affected and to the NTEU, if it is anticipated that one or more of the following will occur: (i) Relocating employees to another campus of the University; or (ii) Restructuring; or (iii) Outsourcing. 42.4.2 The Discussion Paper will address the following points: (i) The proposed time frame for examination of the change proposal; and (ii) The nature of the change proposal; and (iii) The reasons/aims for making the change; and (iv) Relevant financial information including cost benefits; and (v) Anticipated redundancies; and (vi) Relevant staffing matters including organisational charts and proposed changes to duties and position descriptions; and (vii) Any workload implications; and (viii) Equity and OSH implications; and (ix) Where identified, training requirements. The Discussion Paper will be discussed at a Change Management Committee if there are to be significant effects on five or more staff.

  • Supporting Documents The Investors and their counsel shall have received copies of the following documents: (i) (A) the Certificate of Incorporation of the Company, certified as of a recent date by the Secretary of State of the State of Delaware, and (B) a certificate of said Secretary dated as of a recent date as to the due incorporation and good standing of the Company, the payment of all excise taxes by the Company and listing all documents of the Company on file with said Secretary; (ii) a certificate of the Secretary or an Assistant Secretary of the Company dated the Closing and certifying: (A) that attached thereto is a true and complete copy of the By-laws of the Company as in effect on the date of such certification; (B) that attached thereto is a true and complete copy of all resolutions adopted by the Board of Directors or the shareholders of the Company authorizing the execution, delivery and performance of this Agreement and the Security Agreement, the issuance, sale and delivery of the Notes and Warrants and the reservation, issuance and delivery of the Warrant Shares, and that all such resolutions are in full force and effect and are all the resolutions adopted in connection with the transactions contemplated by this Agreement; (C) that the Certificate of Incorporation of the Company has not been amended since the date of the last amendment referred to in the certificate delivered pursuant to clause (i)(B) above; and (D) to the incumbency and specimen signature of each officer of the Company executing any of this Agreement, the Security Agreement, the Notes and Warrants and any certificate or instrument furnished pursuant hereto, and a certification by another officer of the Company as to the incumbency and signature of the officer signing the certificate referred to in this clause (ii); and (iii) such additional supporting documents and other information with respect to the operations and affairs of the Company as the Investors or their counsel reasonably may request.

  • Discussions Within 14 days of the date of the notice under Clause 23.2 (Advance Notice) of this article, the Union and the Employer will commence discussions for the purpose of reaching agreement as to the effects of the technological change and in what way, if any, this agreement should be amended.

  • Discussion of Differences If a difference arises between the Employer and an employee(s) or between the Employer and the Union concerning the interpretation, application, operation or any alleged violation of the Agreement, the employee(s) shall continue to work in accordance with the Agreement until the difference is settled.

  • Discussion Staff has reviewed the proposal relative to all relevant policies and advise that it is reasonably consistent with the intent of the MPS. Attachment B provides an evaluation of the proposed development agreement in relation to the relevant MPS policies.

  • Independent Agreement Notwithstanding any other provision of this Agreement, including the recitals hereof, the parties agree that the Lease Agreement executed between the parties thereto shall be a separate and independent document from this Agreement, and irrespective of whether any provision of this Agreement or the entirety hereof shall be held invalid or unenforceable by any court of competent jurisdiction, the Lease Agreement shall be construed, interpreted, and otherwise regarded separate and apart from this Agreement. The parties hereto specifically note that the considerations and terms provided for in this Agreement and provided for in the Lease Agreement are the only considerations and terms for which the parties thereto have executed this Agreement.
