Disposition of Equity Interests Sample Clauses

The Disposition of Equity Interests clause governs how and under what conditions a party may sell, transfer, or otherwise dispose of their ownership shares in a company. Typically, this clause outlines restrictions on transferring equity, such as requiring prior approval from other shareholders or the company, and may specify permitted transferees or exceptions for certain types of transfers, like those to affiliates. Its core function is to maintain control over the ownership structure, prevent unwanted third parties from acquiring interests, and protect the interests of existing stakeholders.
