Common use of Dispute Discussion Clause in Contracts

Dispute Discussion. Any dispute arising under this Agreement shall be considered in person, or by telephone, by the appropriate Vice President of the Provider and Recipient, or any appropriate designees, within ten (10) business days after receipt of a notice from either party specifying the nature of the dispute. Thereafter, if the parties are unable to resolve the dispute within such time period, the parties shall escalate the dispute to the TSA Joint Management Board (“JMB”) Intercompany Monitoring and Services Agreement (US - FINAL) established by the parties as part of the Transaction pursuant to the Transition Services Agreement (“TSA”) to be entered into on or about the date hereof between the parties and/or their affiliates concerning certain transitional services to be provided by each party to this Agreement and their affiliates to the other party to this Agreement and/or their affiliates. Thereafter, if the parties remain unable to resolve the dispute within thirty (30) days of initial presentation, the parties may proceed with all remedies available at law or equity.
