(Dispute Regarding Payment. If any dispute arises between the OEEF and the Grantee concerning whether any payment of money or reimbursement of money is due under this Agreement, either party may notify the other party, in writing, of the dispute ("Notice of Dispute"). If a Notice of Dispute is delivered, each party shall provide the other party with the documentation necessary to consider such dispute and the parties shall then make a good faith effort to amicably resolve the dispute.
