Dividends Accumulated Clause Samples

The "Dividends Accumulated" clause defines how dividends that are declared but not yet paid to shareholders are treated over time. Typically, this clause applies to preferred shares, specifying that unpaid dividends will accumulate and must be paid out before any dividends can be distributed to common shareholders. For example, if a company skips a dividend payment in one year, the amount owed carries forward and adds to future payments. This clause ensures that preferred shareholders receive their entitled dividends in full, even if payments are delayed, thereby protecting their financial interests and clarifying the order of dividend distribution.
