The Administrative Agent shall have received the following documents, each duly executed where appropriate (with sufficient conformed copies for each Lender), each of which shall be reasonably satisfactory to the Administrative Agent (and to the extent specified below, to each Lender or the Lead Arrangers, as the case may be) in form and substance:
