Common use of Documented Instructions and Purpose Clause in Contracts

Documented Instructions and Purpose. a. The Processor shall Process the Personal Data in accordance with the documented instructions of the Controllers, including as described in the Deposit Agreement and this DPA, and this is the sole purpose for which the Processor may Process the Personal Data. The Controllers confirm that the Processor's obligations under the Deposit Agreement and this DPA, constitute the instructions to be followed by the Processor. b. Notwithstanding a. above, the Processor may also Process Personal Data as required by applicable EU or EU Member State law. In case of such requirement of EU or EU Member State law, the Processor shall inform the Controllers of that legal requirement before Processing the Personal Data, unless that law prohibits such information to be provided to the Controllers on important grounds of public interest. c. The Processor shall immediately inform the Controllers if, in its opinion, any instruction given by the Controllers infringes any Data Protection Laws.
